Job description

Direct Counsel is seeking a Finance Associate to join a market-leading Business Restructuring & Reorganization practice. This is an exceptional opportunity for an attorney with restructuring finance experience to work on high-profile creditor-side and borrower-side matters involving complex restructurings, special situations transactions, and Chapter 11 proceedings.

While the position is open to multiple offices, New York is strongly preferred.

The ideal candidate will have experience representing creditors, borrowers, hedge funds, private equity sponsors, CLOs, and other financial institutions in sophisticated restructuring and special situations financings.

Responsibilities
  • Advise creditors, borrowers, and financial institutions on complex restructuring and financing transactions
  • Represent clients in:
    • Liability management transactions
    • Debtor-in-possession (DIP) financings
    • Bankruptcy exit financings
    • Special situations financings
    • Out-of-court restructurings
    • Chapter 11 matters
  • Structure, negotiate, and document sophisticated financing transactions
  • Draft and negotiate credit agreements, financing documents, and related transaction materials
  • Work closely with hedge funds, CLOs, private equity sponsors, and institutional lenders
  • Analyze capital structures and restructuring alternatives
  • Collaborate with restructuring, finance, bankruptcy, and litigation teams on complex matters
  • Participate in strategic planning and transaction execution from inception through closing
Qualifications
  • J.D. from an accredited law school
  • Law school class years 2019–2023
  • Significant finance experience involving one or more of the following:
    • Liability management transactions
    • DIP financings
    • Bankruptcy exit financings
    • Special situations financings
    • Restructuring finance
    • Chapter 11 matters
    • Out-of-court restructurings
  • Experience representing creditors and/or borrowers
  • Strong drafting and negotiation skills
  • Excellent analytical and problem-solving abilities
