Job description

Private Equity Associate Attorney
Locations: Atlanta, Austin, or Chicago

Direct Counsel is seeking a Private Equity Associate Attorney to join a leading Am Law firm with a nationally recognized Corporate practice. This is an opportunity to advise strategic buyers, sellers, and private equity firms on sophisticated M&A transactions in a fast-growing market.

Ideal Candidate Profile:

  • 4–7 years of private equity and/or M&A experience at a top-tier corporate law firm

  • Demonstrated experience managing significant private equity or M&A deals

  • Superior academic credentials and strong drafting, analytical, and communication skills

  • Admitted to practice in the jurisdiction where applying

What You’ll Do:

  • Advise clients on complex mergers, acquisitions, investments, and other private equity transactions

  • Serve as a key contact on deal teams, managing workstreams and contributing to client strategy

  • Collaborate with colleagues across offices and disciplines in a supportive, team-oriented environment

Key Skills:

  • Strong business judgment and attention to detail

  • Excellent writing, negotiation, and problem-solving abilities

  • Ability to manage multiple matters and deadlines in a fast-paced environment

Compensation & Benefits:

  • Expected base salary range: $310,000 – $420,000, commensurate with experience and location

  • Comprehensive benefits package including medical, dental, vision, and 401(k)

Work Environment:
Hybrid model with regular in-office presence and flexibility for remote work.
