About the Role

We are seeking a Corporate Governance & Appraisal Litigation Associate to join the growing Delaware office. This position offers the opportunity to work alongside experienced litigators handling sophisticated corporate governance, appraisal, and shareholder litigation before the Delaware Court of Chancery and other courts throughout the United States.

The ideal candidate is a junior litigation associate (Class of 2023 or 2024) with experience practicing before the Delaware Court of Chancery who is looking for substantial hands-on responsibility in a collaborative environment.

This is a full-time, in-office position. Candidates should expect to work primarily from the Wilmington office, with five days per week in the office preferred. Work hours are driven by the needs of active litigation matters.


Responsibilities:

  • Conduct legal and factual research.
  • Draft complaints, motions, briefs, and other litigation documents.
  • Draft and respond to discovery requests, including document requests, interrogatories, requests for admission, and deposition notices.
  • Perform document and privilege reviews, including preparation of privilege logs.
  • Prepare attorneys for depositions, mediations, and trial.
  • Attend depositions, hearings, mediations, and trials.
  • Analyze deposition testimony and litigation records.
  • Assist with settlement negotiations and litigation strategy.
  • Manage multiple litigation matters while meeting court deadlines.


Qualifications:

  • J.D. from an accredited U.S. law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • Class of 2023 or 2024 preferred.
  • Experience practicing before the Delaware Court of Chancery is strongly preferred.
  • Experience with corporate governance, appraisal, shareholder, securities, or complex commercial litigation.
  • Excellent legal research, writing, and analytical skills.
  • Strong organizational skills with exceptional attention to detail.
  • Ability to work independently while collaborating effectively with attorneys and support staff.
  • Ability to manage multiple priorities in a fast-paced litigation practice.
