The Contract Manager, Sales & Service will be responsible for global commercial contracting activities to support sales and service for the JBT Marel Corporation ("JBTM"). JBTM is optimizing its approach to contracts management, and the Manager will be an important role as a member of the Global Contracts team to transform from a decentralized network to a center-led, business-focused global team of contracts resources. The Contract Manager will be responsible for certain Sales and Service contracts workstreams to provide dedicated contracts support, enhance governance, and accelerate business velocity. The Contract Manager plays a critical role in providing holistic support for JBTM's Sales and Service contracts.

Key Responsibilities:

  • Support the Global Contracts team and leadership to help develop and implement a contracts management framework and team structure to align to JBTM sales and service activities.
  • Coordinate within theSalesandService group of the Global Contractsteamwith agilityandembrace professional development.
  • Help optimize and execute the "Playbook" to establish standardized templates, fallback clauses, workflows, and approval processes for Sales and Service contracts.
  • Draft, review, and negotiate commercial contracts and related agreements.
  • Utilize the enterprise-wide Contracts Lifecycle Manage ("CLM") tool.
  • Provide guidance and training to develop and support embedded business operations across the areas of support to the business and related sales activities.
  • While primary focus will be on Sales and Service contracts, support the Procurement and Digital/IT contracts resources as needed to effectively provide commercial contracting coverage as needed to all aspects of the business.
  • Collaborate with other groups within the Global Contracts team, Legal, Ethics & Compliance, Tax, Risk Management, Finance, Sales, and other cross-functional teams to ensure appropriate provisions are included in Sales and Service contracts.
  • Conduct research and stay informed about changes in laws and regulations that may impact JBTM's business related to Sales and Service contracts.
  • Provide training and guidance to internal JBTM teams on contract templates, processes, issues and best practices.
  • Manage external resources when utilized to supplement contracts management activities.

Minimum requirements:

  • A minimum of seven (7) years of relevant experience
  • Experience providing contracts advice and support to companies with global manufacturing or assembly operations will be a strong advantage
  • Deep understanding of the UCC and CISG
  • Experience negotiating and documenting complex commercial transactions with different types of counterparties across varying jurisdictions
  • Experience with utilizing a Contracts Lifecycle Management tool.
  • Familiarity with impact of contracts terms and conditions on commercial litigation and support of global regulatory compliance initiatives (e.g., third-party diligence) is desired

Education:

  • Bachelor's degree required
  • MBA or J.D. (or similar legal degree) from an accredited law school is preferred
  • This is a remote role.
  • Headquarters location is in Chalfont, PA.
  • You will work within a global contract team.
  • Travel will be up to 10% and could be international.
  • Must be able to work in the US now and in the future without company sponsorship.
