What are mergers, acquisitions, and SPACs?

Mergers and acquisitions (M&A) refer to the processes where companies combine (merger) or one company purchases another (acquisition) to achieve strategic business goals such as growth, diversification, or market expansion. SPACs (Special Purpose Acquisition Companies) are publicly traded companies created solely to raise capital through an initial public offering (IPO) for the purpose of acquiring or merging with an existing private company. These strategies are widely used in the business world to access new markets, technologies, or resources, and SPACs have become especially popular for taking companies public faster than through a traditional IPO.

What are some common challenges faced by professionals working in mergers & acquisitions (M&A) SPAC roles?

Professionals in M&A SPAC roles often encounter challenges such as navigating complex regulatory requirements, managing tight deal timelines, and aligning the interests of multiple stakeholders, including target companies, investors, and legal advisors. The fast-paced nature of SPAC transactions requires strong project management and communication skills, as deals typically involve cross-functional collaboration and rapid due diligence. Staying updated on evolving market trends and regulatory changes is also essential to ensure successful deal execution and compliance.

What are the key skills and qualifications needed to thrive as a mergers & acquisitions (M&A) specialist, and why are they important?

To thrive as a Mergers & Acquisitions Specialist, you need expertise in financial analysis, deal structuring, and due diligence, typically supported by a degree in finance, accounting, or business and often an MBA or CFA certification. Familiarity with financial modeling tools, valuation software, and data room management systems is essential. Strong negotiation, analytical thinking, and interpersonal skills help build relationships and manage complex transactions smoothly. These competencies are crucial for identifying value, mitigating risks, and ensuring successful deal execution in high-stakes environments.

Job description

About BAO Consulting LLC
In 2021, we started BAO Consulting Group because we saw an opportunity to redefine the consulting model through our diverse experience, versatile capabilities, and extensive networks. From high-stakes challenges to day-to-day relationships, we strive to make an impact by providing practical and effective advice that helps you reach your goals-and solve your problems-quickly and efficiently.
We provide comprehensive Accounting, Finance and Transaction Advisory services, offering strategic expertise and tailored solutions to address complex business needs. Our clients rely on us for trusted guidance and informed decision-making across all stages of their business lifecycle.
About the role
BAO Consulting Group is looking for a Director who is ready to take ownership of a client portfolio, lead a team, and make a direct impact on firm growth. Directors at BAO are operators - they don't manage from a distance. You'll be embedded with clients, solving their hardest financial reporting challenges, while also building the next chapter of our firm alongside our founding leadership team.
What you'll do
  • Own a portfolio of Accounting Advisory client relationships; serve as the senior-most day-to-day point of contact for key engagements
  • Lead engagements across the full spectrum of accounting advisory services: technical accounting research, financial close transformation, audit readiness, restatement support, IPO/SPAC prep, M&A accounting, and more
  • Provide technical leadership on highly complex and judgmental accounting matters; review and sign off on technical memos and client deliverables
  • Oversee all aspects of engagement economics - scoping, pricing, staffing, budgeting, and invoicing
  • Drive expansion of existing client relationships through proactive identification of new service opportunities
  • Play an active role in new business development: referral cultivation, RFP responses, proposal development, and closing
  • Recruit, develop, and retain talent at the Manager and Senior Manager levels; build a high-performing team culture
  • Contribute to BAO's practice infrastructure: develop methodologies, case studies, and go-to-market materials

Qualifications
  • Bachelor's degree in Accounting or Finance; CPA required
  • 10-12 years of experience with a minimum of 5 years in an advisory, consulting, or technical accounting capacity
  • Exceptional technical accounting knowledge across a broad range of U.S. GAAP topics
  • Demonstrated ability to manage multiple large engagements simultaneously with full P&L accountability
  • Strong business development track record with an existing network in the middle-market, PE, or CFO advisory space
  • Outstanding leadership and communication skills; ability to inspire teams and influence executive-level clients

Preferred qualifications
  • Big 4 Manager or Senior Manager background with transition to consulting
  • Significant experience with PE-backed companies or private equity sponsors
  • Experience with cross-border accounting, multi-entity consolidations, and international operations

Company benefits
  • Medical, Dental & Vision - comprehensive coverage for you and your dependents.
  • 401(k) with Employer Match - we invest in your future, not just your clients'.
  • Unlimited PTO - take the time you need. We measure output, not hours.
  • Paid Parental Leave - time to be present when it matters most.
  • Professional Development - CPA CPE reimbursement and continuing education support.

The pay range for this role is:
190,000 - 220,000 USD per year (HQ)
