ABOUT THE ROLE

We are seeking an experienced Associate General Counsel, Joint Ventures & Finance to serve as the lead legal partner for the company's most significant partnership and financing initiatives. In this high-impact role, you will lead the legal structuring, negotiation, and execution of joint ventures, strategic partnerships, minority investments, and sophisticated financing transactions — including project financings, structured debt arrangements, and acquisition financings — that are central to the company's long-term growth strategy. You will also support M&A activity and other strategic transactions as they arise.

You will work closely with executive leadership and cross-functional teams to structure, negotiate, and execute sophisticated transactions across a rapidly evolving infrastructure platform operating at the intersection of energy, AI infrastructure, and digital assets. This role offers substantial exposure to strategic decision-making, capital formation, and enterprise-level legal and business issues.

The ideal candidate combines deep joint venture and finance experience — including partnership structuring, governance design, and complex debt and capital arrangements — with practical business judgment, a high degree of ownership and autonomy, and the ability to operate effectively in a fast-paced, execution-oriented environment.

About You

  • Joint Venture & Partnership Lead: You have significant experience structuring, negotiating, and executing joint ventures, strategic partnerships, and minority investments, including economic and governance terms — capital contributions and funding obligations, distribution waterfalls, governance and control rights, transfer restrictions, exit mechanics, and deadlock resolution.
  • Finance & Capital Structuring: You have led or played a senior role on sophisticated financing transactions, including project financings, structured debt arrangements, acquisition financings, credit facilities, or other capital markets and infrastructure-related transactions, and are fluent in covenant packages, intercreditor issues, and collateral structures.
  • Ongoing Venture Governance: You understand that JVs live beyond closing — you have experience advising on post-formation governance, partner disputes, amendments, capital calls, and restructurings of existing ventures.
  • M&A and Strategic Transactions: You have supporting experience on mergers, acquisitions, divestitures, and other corporate transactions, and can lead or support M&A workstreams as needed.
  • Strategic Problem Solver: You are capable of navigating complex commercial, regulatory, and structural issues and developing practical, business-oriented solutions.
  • Cross-Functional Operator: You work effectively across legal, finance, tax, treasury, development, and executive teams and are comfortable coordinating multiple stakeholders under demanding timelines.
  • Independent and Commercially Minded: You are comfortable operating independently, managing multiple high-priority matters simultaneously, and exercising sound judgment in dynamic environments.
Key Responsibilities
  • Lead legal structuring, negotiation, and execution of joint ventures, strategic partnerships, and minority investments, including formation documents, JV and LLC agreements, governance frameworks, and related commercial arrangements.
  • Lead legal support for financing transactions, including project financings, structured debt arrangements, acquisition financings, and credit facilities, including term sheets, loan documentation, covenant and diligence matters, intercreditor arrangements, and closings.
  • Advise on the ongoing governance and administration of existing joint ventures and financing arrangements, including amendments, waivers, capital calls, compliance matters, and partner or lender relations.
  • Support mergers, acquisitions, divestitures, and other strategic transactions, including structuring, diligence, negotiation, and documentation.
  • Partner with Finance, Treasury, Tax, Development, Investor Relations, and other business teams to support capital formation and strategic initiatives and ensure seamless transaction execution.
  • Draft and negotiate complex transaction agreements — JV and partnership agreements, investment agreements, loan and security documents, and ancillary agreements — in support of the company's strategic objectives.
  • Manage outside counsel and specialized advisors to deliver high-quality, cost-effective legal support on sophisticated matters.
  • Serve as a trusted advisor to the Chief Legal Officer and senior leadership on partnership strategy, capital structure, risk assessment, and execution considerations.
