Contracts Manager

Job Overview:
Cambium Assessment is hiring a new Contracts Manager for their Strategic Operations & Business Development team. Our Contracts Manager will oversee life-cycle contracts management, including the review and drafting of various legal instruments and the creation and review of state and federal proposals and bid submissions.
Job Responsibilities:
Contracts
  • Provide life-cycle contracts management for a variety of business agreements including prime contracts, subcontracts, licenses, teaming agreements, master services agreements, and non-disclosure agreements.
  • Build and maintain a detailed tracking log of all in process and completed contract reviews and signings.
  • Review, draft, research, process, compare, and negotiate contracts, amendments, modifications, renewals, NDAs, licenses, teaming agreements, statements of work, and other legal documents. This includes securing approval from Program and Finance teams prior to execution.
  • Provide standard language and process uniformity that limits exposure to unintended risk.
  • Provide day to day advice, support, and counseling for CAI leadership on contracting and other legal matters. Act as a resource for general contract and business rules, application of standard terms and conditions, and interpretations of clauses and agreements, among other items.
  • Successfully work across legal and corporate services in areas such as: corporate policies, insurance, tax, corporate registrations, ethics, disclosures, filings, purchasing, etc.
  • Deliver quality and timely work product and satisfy all internal and external client contract requirements.
  • Build exceptional relationships across the leadership and program teams and provide valuable contract related services.

Proposals, RFP, RFI, RFQ
  • Successfully complete RFP submissions, responses, corporate requirements, diligence reviews, and draft exceptions to terms/conditions.
  • Summarize, complete, and assist with HUB/MBE good faith documentation and submission requirements.
  • Detail, train and assist resources from other areas (Program, Content, Finance) on requirements and compliance with RFP specifications.
  • Review RFPs and RFP Q&As and prepare summaries of background information and RFP highlights with respect to contract terms and conditions.
  • Manage writing, editing, and proofreading proposal text with respect to contract terms and conditions, subcontractor requirements, and required corporate submissions such as registrations, certifications, and insurance. Coordinate and manage proposal text with input from various CAI teams.
  • Monitor, edit and complete corporate registration, bonding, insurance, and other compliance related requirements required to maintain good standing to bid on RFPs.
  • Provide counsel around bid and proposal requirements, compliance, and response.
  • Meet all deadlines for internal and external responses.

Projects
  • Successfully complete contract related projects. Examples - research and summarize all contract provisions related to liquidated damages, breach reporting, assignment requirements, force majeure, etc.

Job Requirements:
  • A minimum of bachelor's degree required; Masters, or Legal, or Paralegal preferred.
  • 3-5 years' experience in state or federal contracts management including contract review and drafting, and review and submission of state or federal proposals.
