Overview

As Associate General Counsel, Americas, you will report to Rithum's General Counsel, with direction from the Deputy General Counsel and other members of the Legal team. You will serve as a trusted legal advisor to leaders and stakeholders across the business, supporting commercial transactions, employment matters, corporate governance, data privacy, commercial bankruptcy and compliance activities throughout the Americas region, and assist in other jurisdictions outside of the Americas where appropriate. You bring significant experience negotiating complex technology agreements, advising on a wide array of employment law matters, and delivering practical, business-oriented legal counsel. You operate with sound judgment, strong business acumen, and the ability to independently navigate complex legal and business issues in a fast-paced environment.

 

Responsibilities

Commercial Transactions & Business Partnership

  • Negotiate, draft, review, and manage a broad range of commercial agreements, including SaaS agreements, technology and licensing agreements, strategic partnership agreements, procurement contracts, confidentiality agreements, and other business-critical documents.
  • Provide practical, risk-based legal guidance that supports commercial objectives while protecting the company's interests.
  • Partner with Sales and business leaders to facilitate efficient deal execution and support revenue growth initiatives.

Employment & People Support

  • Advise the People team on recruitment, employment, compensation, benefits, workforce planning, and employee relations matters.
  • Draft and review employment agreements, offer letters, separation agreements, compensation plans, confidentiality agreements, and related documentation.
  • Counsel stakeholders on grievances, disciplinary matters, workplace investigations, and other employment-related issues.
  • Support organizational initiatives while ensuring compliance with applicable labor and employment laws.

Legal Operations, Compliance & AI Enablement

  • Develop and maintain scalable legal processes, playbooks, templates, and policies that improve consistency, efficiency, and risk management.
  • Leverage AI-enabled tools and emerging technologies to streamline legal research, contract review, knowledge management, and workflow automation.
  • Champion an AI-first mindset by identifying opportunities to improve productivity, automate repetitive work, and enhance legal service delivery.
  • Monitor and advise on legislative, regulatory, and industry developments affecting Rithum's business.
  • Evaluate and adopt new technologies, including AI-powered solutions, that improve legal team efficiency, scalability, and business partnership.

Corporate Governance, Privacy & Risk Management

  • Support corporate governance activities, entity management, annual filings, audits, and regulatory reporting.
  • Advise on data privacy, data security and AI-governance matters, including security questionnaires, data protection agreements, privacy framework submissions, DSAR requests, DPIAs, PIAs and ROPAs and related obligations.
  • Support enterprise risk management, compliance initiatives, and other corporate legal matters.

Cross-Functional Collaboration & Strategic Support

  • Partner with stakeholders across Sales, Finance, Product, Engineering, Marketing, People, and other business functions to provide strategic legal counsel.
  • Coordinate with external counsel and advisors as needed.
  • Lead or support special projects involving procurement, real estate, compliance, dispute resolution, and other business priorities.
  • Contribute to the continued evolution of Rithum's Legal function through process improvement, knowledge sharing, and operational excellence.

Qualifications 

Minimum Qualifications  

  • 10+ years of relevant experience in a law firm and/or in-house legal department supporting business operations.
  • Juris Doctor from an accredited law school and active bar membership in good standing.
  • Significant experience negotiating, drafting, and interpreting commercial contracts, including SaaS, licensing, and technology agreements.
  • Experience advising on employment law matters and supporting People/HR organizations.
  • AI-forward attorney with fluency across multiple AI platforms.
  • Comfortable working natively in Salesforce CRM tools
  • Demonstrated experience leveraging AI-enabled tools, automation technologies, or legal technology platforms to improve productivity, streamline workflows, and enhance legal operations.
  • Ability to evaluate and responsibly utilize emerging technologies, including AI solutions, while maintaining appropriate legal judgment, confidentiality, and risk management practices.
  • Excellent verbal, written, analytical, and negotiation skills.
  • Strong business judgment and ability to provide practical, solutions-oriented legal advice.
  • Proficiency with common workplace technologies, including Microsoft Office, Salesforce, DocuSign, Teams, and related applications.
  • Strong organizational skills with the ability to manage competing priorities and deadlines.
  • Flexibility to support stakeholders across multiple time zones when needed.
  • Exceptional interpersonal skills and ability to build trusted relationships at all levels of the organization.

Preferred Qualifications 

  • Experience in SaaS, eCommerce, or technology companies.
  • Experience supporting global or multi-jurisdictional organizations.
  • Experience supporting privacy, compliance, corporate governance, employment, or risk management matters.
  • A proactive, business-oriented mindset with a focus on practical solutions.

For this position, the expected base pay range is: $185,000-$260,000 per year. 

This range represents the base pay for the role across all U.S. locations and is determined based on market data, internal equity, and experience. Final compensation may vary depending on geographic location, skills, and relevant experience.In addition to base pay, we offer a discretionary bonus for non-sales roles, a comprehensive benefits package, and, where applicable, sales incentives.

For this position, the expected discretionary bonus is 15% of the annual base salary.
