Stinson LLP โ€“ Attorney, Corporate Finance (Minneapolis)

Stinson LLP seeks an Attorney in our Minneapolis, MN office in the Corporate Finance division. The Attorney represents and counsels clients, drafts documents, and conducts legal research in corporate finance legal matters.

Responsibilities
  • Provide a full range of legal services for publiclyโ€‘held corporations, privatelyโ€‘held companies, private equity funds, and venture capital funds.
  • Offer legal services related to securities law compliance, capital markets transactions, merger and acquisition (M&A) transactions, private equity (PE) and venture capital (VC) transactions, investment company and advisor compliance, corporate governance, and structured finance.
  • Support the firm in representing clients on structuring and documenting public offerings of equity and debt securities, merger and acquisition transactions, private equity transactions, venture capital transactions, structured finance transactions, as well as corporate governance, securities law compliance, and corporate law matters.
  • Conduct legal research, provide legal and logical analysis, gather and use data, organize facts and materials, demonstrate attention to detail, draft critical transaction documents, and exercise excellent judgement in problem solving.
Qualifications

We require a Juris Doctor (J.D.) degree from an ABAโ€‘accredited law school in the United States and an active license to practice law in Minnesota. The position also requires two years of legal experience advising businesses on the formation of business entities, mergers, acquisitions, joint ventures, public company SEC regulatory compliance, corporate governance issues, tax issues, and drafting documentation including preparation of merger agreements, stock sales, stock purchases, venture capital financings, shareholder agreements, employment and nonโ€‘competition agreements, stock option plans, and complex security and debt documents with related registration rights.

Compensation and Benefits

Associate compensation includes a base salary (based on an 1850 billable hour target) and a discretionary merit bonus based on performance. The salary range for this role is $195,000 โ€“ $235,000. Benefits include medical, dental, and vision insurance; paid time off; flexible schedules; 401(k); and additional employee benefits. The employer will pay or exceed the prevailing wage determined by the U.S. Department of Labor.
