Role Overview:

The General Counsel is a highly experienced legal executive with proven success navigating complex legal challenges during organizational turnarounds, helping to stabilize and restore financial and operational health.

The General Counsel will guide leadership and manage a legal team providing responsive legal counsel during significant organizational change. Responsibilities include advising on legal matters related to restructuring, risk management, compliance, legislation, ethics, employment, contracts, and other agreements.

Salary Statement:

The salary range for this position is $145,000 - $165,000 annually.

A Day in the Life: General Responsibilities
  • Advise leadership and stakeholders on legal implications of strategic initiatives.
  • Draft, review, and memorialize contracts, MOUs, and other documents.
  • Ensure compliance with federal, state, and local laws.
  • Handle personnel issues and respond to public records requests.
  • Serve as Ethics and Privacy Officer.
  • Oversee Open Door Law compliance and serve as Secretary to the Board of Directors.
  • Build, manage, and mentor the legal team.
Immediate Duties
  • Collaborate on and implement a turnaround plan.
  • Provide legal guidance on organizational change, restructuring, debt, and contracts.
  • Identify and mitigate legal and compliance risks.
  • Ensure adherence to legal, regulatory, and ethical standards.
  • Advise on financial restructuring and manage litigation.
  • Manage stakeholder relations and negotiate contracts.
  • Lead and develop the legal team, demonstrating strong business understanding.
  • Communicate complex legal issues clearly and collaborate effectively.
Qualifications:
  • Juris Doctor (J.D.) required.
  • At least 15 years of legal experience, including 5 in a senior role, in government, corporate, or law firm settings.
  • Experience with turnaround teams and diverse legal issues.
  • Strong understanding of corporate structures and policymaking.
  • Excellent decision-making, communication, and collaboration skills.
  • Strategic business acumen.
