Job description

Ice Miller seeks a senior-level associate to join our Business practice group. Preference will be given for candidates seeking to join our Washington, DC. Office. Ideal candidates will have five (5) to eight (8) years of experience.  

About the Role: 

The ideal candidate will have experience drafting and negotiating software, SaaS, cloud services, e-commerce, and technology transaction agreements. The work will include enterprise subscription agreements, platform integrations, professional services, software licensing and implementation, vendor onboarding, data processing agreements, privacy policies, and technology/IP licensing. Candidates should be comfortable improving form agreements, simplifying contracting playbooks, and working with business teams to move sales and procurement processes forward. Experience with distribution, logistics, government contracts, and international commercial agreements is a plus. 

 Responsibilities: 

  • Draft and negotiate SaaS, cloud services, software licensing, implementation, platform integration, and professional services agreements. 
  • Advise on e-commerce platform launches, including vendor onboarding, commercial terms, payment processing, merchant services, and platform policy compliance. 
  • Handle technology and IP licensing, commercialization transactions, and strategic partnership agreements. 
  • Prepare and negotiate data processing agreements and advise on privacy policies, data security terms, and related risk allocation. 
  • Update templates, standard terms, and contracting playbooks to support faster sales and procurement cycles. 
  • Review and negotiate distribution, logistics, supply chain, and other commercial agreements. 

Requirements: 

  • J.D. from an accredited law school with strong academic credentials 
  • At least five (5) years of experience practicing law in a law firm and/or in-house environment 
  • Active law license in state where office is located 
  • Strong written and oral communication skills 
  • Excellent analytical skills and business judgement 
  • Demonstrated ability to work effectively both independently and as part of a team 
  • Must have permanent authorization to work in the United States 

The ideal candidate will: 

  • Bring relevant law firm and/or in-house experience supporting software, SaaS, e-commerce, technology, commercial, logistics, government contracts, or international transactions
  • Work directly with business and legal teams to negotiate contracts, resolve issues, and keep transactions moving 
  • Be comfortable making practical judgment calls in fast-moving situations where the answer may not be clear-cut 
  • Contribute well in a team environment while also managing work independently and taking ownership of deadlines 
  • Build effective working relationships with attorneys, staff, and clients across different backgrounds and practice needs
