The Opportunity

Are you a forward-thinking legal professional who loves the intersection of law, compliance, and cutting-edge technology? ACA International is looking for a proactive Corporate Paralegal to be the backbone of our legal operations. Reporting directly to the CEO, you will be a vital partner to our internal teams, committees, and external counsel.

This isn't your average filing-and-redlining job. We are looking for someone eager to embrace Artificial Intelligence (AI) to streamline workflows, vet new technologies, and keep our corporate entities running smoothly and safely.

Key Responsibilities

Contract Management

  • Take charge of drafting, reviewing, and negotiating a wide variety of contracts.
  • Keep us ahead of the game by monitoring expiration and renewal deadlines and communicating with stakeholders.
  • Modernize and update standard templates across all operational departments, including sponsorships, vendors, and exhibitor contracts.

Corporate Policies and Compliance

  • Serve as our first line of defense for technology, vetting and conducting initial risk reviews for new AI tools and programs.
  • Actively embrace and evolve the use of AI tools to create efficiencies in your own daily workflows.
  • Process corporate data requests and partner closely with our IT department on data security and cyber risk mitigation.
  • Update internal policies with the assistance of external counsel, focusing on HR, Record Retention, Data Security, and Event policies.
  • Track and protect our Intellectual Property (IP) assets and act as the primary owner of the accessibility email inbox and audits.

Governance and Ethics Support

  • Keep our leadership organized by supporting the Corporate Secretary, Holding Company Board, and Board of Directors with materials, orientations, and meeting coordination.
  • Coordinate Ethics Committee operations, including preparing agendas, taking precise notes, tracking action items, and processing membership ethics complaints.
  • Assist in handling and resolving claims (including IP misuse) and operational conflicts, such as member policy violations.

Department and Budget Administration

  • Administer the creation, tracking, and year-round management of the corporate legal department's operational budget.
  • Manage a corporate credit card, process vendor payments, and act as the primary liaison for all external counsel.
  • Conduct initial legal and compliance reviews of educational, marketing, and advertising materials, and draft necessary legal disclaimers.
  • Prepare and deliver corporate legal updates at internal Monthly Manager and All Team meetings.

What You Bring to the Table

  • Education: A Bachelor’s degree and/or a Paralegal Certificate from an ABA-approved program.
  • Experience: 5 to 7 years of related work experience as a corporate paralegal in a corporate legal department or law firm. (Bonus points if you have experience in non-profit governance or a membership association environment!)
  • Certifications: A Certified Paralegal (CP) or Certified Legal Assistant (CLA) designation is preferred.
  • Tech-Savvy: You are highly proficient with Microsoft Office Suite, document management systems, and are eager to learn and expand the use of AI tools.
  • Skillset: You possess exceptional business writing, problem-solving, and legal research skills, and you know how to build trust with staff, management, and external partners.
  • Agility: You are a proactive idea generator who thrives in a fast-paced environment and can independently prioritize projects within tight timelines.
