Position: Mid-Level Associate (Lateral)

Practice Area: Private Equity / Corporate Transactions

Experience Level: 3–6 years (Class of 2019–2022)


Overview:

An AmLaw firm is seeking a highly qualified Private Equity Associate / Counsel to join its Private Equity group, advising top-tier sponsors and portfolio companies on high-value transactions. This position offers the opportunity to work across industries—including technology, healthcare, life sciences, financial services, and consumer products—with exposure to both domestic and cross-border deals.


Responsibilities:


  • Represent private equity sponsors and their portfolio companies in M&A, leveraged buyouts, growth equity, and recapitalization transactions.
  • Draft and negotiate purchase agreements, merger agreements, investor rights, and equity documents.
  • Lead portions of deal execution, coordinate due diligence, and liaise directly with clients, counterparties, and internal practice groups.
  • Support emerging companies and investors in venture capital financings and exits.


Ideal Candidate Profile:


  • 3–6 years of experience in Private Equity, M&A, or Venture Capital transactions at a top law firm.
  • Demonstrated ability to manage multiple deal components independently and thrive in a collaborative environment.
  • Strong business acumen and understanding of deal dynamics, valuation, and capital structures.
  • Exceptional drafting, negotiation, and communication skills.
  • Experience representing both sponsors and portfolio companies is highly valued.
  • Familiarity with growth equity and minority investments is a plus.
  • Relevant bar admission (or ability to obtain promptly) and deal sheet required.
  • Academic excellence from a top-tier law school.
