Department OverviewThe Supply Chain Legal Team works with Supply Chain, Procurement, Quality, internal business partners, subcontractors, and vendors to obtain the products and services needed to run the business while also providing counsel on regulatory and geopolitical drivers that influence the way in which we bring our solutions to market. We are a small, fast paced and collegial team of practitioners who are responsible for supporting the negotiations of domestic and international procurement agreements. These transactions range from complex, high-value agreements with strategic partners to high-volume standard procurement contracts with a broad range of suppliers. We also drive due diligence efforts to mitigate supply chain risks and uphold regulatory standards.
Job Description

The Commercial Counsel is responsible for providing comprehensive legal support to the Supply Chain organization. This includes reviewing, negotiating, and mitigating risk in a variety of agreements while ensuring compliance with company policies and applicable laws/regulations. The portfolio of engagements can range from software and cloud computing to real estate transactions and manufacturing agreements. This role requires a proactive and measured approach to risk management, a strong work ethic, and a desire to lead a broad spectrum of legal projects beyond core transactional work.

A key responsibility of the position will be to drive and implement robust risk management initiatives. This position also requires a willingness to work on a variety of other legal projects including process optimization, template governance, M&A integration, internal policy development, regulatory and technology due diligence, and other initiatives aimed at enhancing the overall efficiency and effectiveness of the legal department. This role develops negotiation strategies with internal business partners, evaluates risk exposure, and makes recommendations to business partners or legal counsel.

This is a full-time position and may be performed remotely, with occasional visits to the office. Seeking applicants that reside or near the Chicagoland area, Plantation, Florida, San Diego, California, Linthicum, Maryland, or the DC area and will be assigned to the corresponding office.

Job Responsibilities:

  • Draft, review, and negotiate vendor contracts, including technology-related agreements, such as license agreements, product supply agreements, software development agreements, cloud computing, and service agreements.

  • Advise and provide solutions to internal business clients on issues specific to vendor contracting and relationships.

  • Provide legal advice regarding negotiation strategies, contractual terms, contract disputes, intellectual property matters, privacy, AI, cybersecurity, supplier relations and compliance matters.

  • Work with Supply Chain colleagues and other internal personnel to identify and mitigate risks.

  • Lead, advise and coordinate with multiple stakeholders across marketing, product, finance, implementation and sales throughout the pre-sales, sales and post-contract cycle on a broad range of legal and compliance issues for the Motorola Solutions portfolio of products and services.

  • Maintain streamlined, organized and efficient policies and procedures for contracts, including establishing playbooks, and standard template language to be used in contracts.

  • Manage contract disputes, including understanding the issues, providing guidance on solutions, and drafting settlement agreements. This can include drafting breach of contract correspondence and participating in mediations as needed.

  • Offer comprehensive guidance to achieve the Company's overarching business objectives, ensuring strict adherence to relevant laws and regulations while mitigating unacceptable risks. Conduct thorough cost-benefit analyses when evaluating potential risks. This responsibility encompasses supporting business and product development initiatives by supplying critical input and advice on legal concerns, prioritizing risk management, and maintaining compliance with governmental and customer requirements.

  • Provide support on other commercial or non-commercial practice area issues including commercial real estate, labor and employment, corporate governance, and data privacy.

  • Proactively develop and maintain technical knowledge in specialized area(s), remaining up-to-date on current trends and best practices.

  • Exercise reasonable judgment to determine when to escalate complex matters or decisions to more senior level counsel or manager.

  • Work effectively with senior management to create strong trusted advisor relationships with business leaders, provide practical advice, facilitate creative problem-solving and informed decision-making.

Specific Knowledge & Skills:

  • Requires a Juris Doctor Degree and 8+ years of experience in corporate transactional, contracts negotiation and/or commercial transaction experience preferably with background in technology matters, software agreements, data privacy, and/or intellectual property.

  • Admission to the Bar of at least one state.

  • In-house legal experience preferred including supervision of outside counsel.

  • Substantial experience drafting, reviewing and negotiating procurement agreements of varying size, scope and complexity. These include product, software, and cloud-services issues, service agreements, licensing/re-distribution agreements and commercial real estate agreements.

  • Experience working with legal policies and procedures and demonstrated ability to identify potential legal issues.

  • Experience approaching legal matters with a sense of pragmatism and flexibility to recommend solutions that enable our company's success while protecting its legacy and future.

  • Excellent negotiation, consultation, analytical skills and sound judgement & decision-making skills.

  • Strong presentation and written and verbal communication skills.

  • Ability to participate and collaborate in meetings with customers, vendors, attorneys, management, and other third parties with regard to negotiation of agreements and general problem solving.

  • Experience applying knowledge of multidisciplinary business principles and practices to achieve successful outcomes in cross-functional projects and activities.

  • Strong business acumen, with ability to understand the company's business objectives and anticipate the legal issues that could arise.

  • Well organized, detail oriented and adept in a fast-paced environment.

  • Lead change and take responsible risks: (1) look for ways to personally affect change and while remaining compliant with applicable policies and laws; (2) see change as an opportunity, consider associated risks, then promptly commit to it.

  • Drive results and execution: (1) identify and raise issues so that appropriate actions can be taken to resolve problems or improve the client experience; (2) take personal ownership to follow through on commitments and achieve high quality results; and (3) balance priorities as needed to keep plans on track.

  • Think strategically: (1) align work with broader business strategies and goals; (2) stay up to date on the impact of market and industry trends on the business; and (3) recognize the impact of the legal work on the Company's overall organizational strategy.

Target Base Salary Range: $125,000 - $130,000 USD
