Job description

General Corporate Associate Attorney

Direct Counsel is seeking a General Corporate Associate Attorney to join a prestigious Am Law firm in Miami, Florida.

This is an exceptional opportunity for an attorney with 1-3 years of general corporate experience to join a nationally recognized Corporate practice. The team advises entrepreneurs, emerging growth companies, venture-backed businesses, investors, and financial institutions on a wide range of corporate transactions, with a particular emphasis on technology, life sciences, and other high-growth industries.

Responsibilities
  • Represent private and emerging growth companies in general corporate matters.

  • Advise clients on venture financings, mergers and acquisitions, and other strategic corporate transactions.

  • Draft, review, and negotiate transaction documents, corporate governance materials, and commercial agreements.

  • Conduct legal due diligence in connection with corporate transactions.

  • Counsel founders, investors, and management teams on corporate governance and business operations.

  • Assist clients throughout the lifecycle of their businesses, from formation through financing, growth, and exit transactions.

  • Collaborate with multidisciplinary legal teams to deliver practical, business-focused legal advice.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in the Florida Bar or eligibility to obtain admission.

  • 1-3 years of general corporate experience representing private companies.

  • Experience with venture financings, mergers and acquisitions, and general corporate matters.

  • Experience practicing in the corporate department of a national or international law firm is preferred.

  • Strong drafting, negotiation, analytical, and communication skills.

  • Outstanding academic credentials from a nationally recognized law school.

  • Ability to thrive in a collaborative, fast-paced environment while managing sophisticated client matters.

Compensation & Benefits
  • Salary: $225,000-$260,000, commensurate with experience and qualifications.
