Fund Finance / Structured Finance Associate Attorney

Locations: Chicago, IL | New York, NY | Charlotte, NC
Salary: $225,000–$435,000

Direct Counsel is seeking a Fund Finance / Structured Finance Associate Attorney to join a leading global law firm'sFinance practice. This opportunity is ideal for an associate with at least 3 years of substantive fund finance and/or structured finance experience.

The successful candidate will work with a broad range of sophisticated financial institutions, including banks, private funds, and asset managers, and will take meaningful ownership of significant portions of complex financing transactions.

Responsibilities
  • Represent banks, private funds, asset managers, and other financial institutions in sophisticated fund finance and structured finance transactions.
  • Lead significant portions of financing transactions from inception through closing.
  • Draft, review, and negotiate credit agreements, security documents, and other transaction documentation.
  • Advise clients on fund finance and structured finance matters and related legal and commercial considerations.
  • Handle transactions involving subscription facilities, NAV facilities, leverage facilities, CLOs, and other complex financing structures.
  • Conduct due diligence and legal research related to financing transactions.
  • Coordinate with clients, lenders, borrowers, sponsors, counterparties, and other transaction participants.
  • Manage transaction workstreams, timelines, and closing requirements.
  • Work closely with partners and other associates on sophisticated financing matters.
  • Develop strong client relationships through direct involvement in transactions and day-to-day client communications.
Qualifications
  • J.D. from an accredited law school.
  • At least 3 years of substantive fund finance and/or structured finance experience.
  • Experience representing banks, private funds, asset managers, or other sophisticated financial institutions.
  • Experience leading significant portions of financing transactions.
  • Experience with subscription facilities, NAV lines, leverage facilities, and/or CLOs is preferred.
  • Large law firm experience is preferred.
  • Strong transactional drafting and negotiation skills.
  • Excellent analytical, organizational, and problem-solving abilities.
  • Strong written and verbal communication skills.
  • Ability to manage multiple matters and competing deadlines in a fast-paced environment.
  • Strong interpersonal skills and ability to work collaboratively with attorneys and clients.
  • Admission to the state bar of the attorney's preferred office location required.
Compensation & Benefits
  • Competitive base salary of $225,000–$435,000, depending on experience and qualifications.
