Job description

Equity Compensation & Administration Senior Manager
The Opportunity:
The Equity Compensation & Administration Senior Manager oversees the company's global equity programs, ensuring accurate administration, strong governance, and compliance across all applicable geographies. This role leads the end-to-end management of equity compensation, including grant administration, vesting, exercises, reporting, and international regulatory requirements. The Senior Manager partners closely with Legal, Tax, Payroll, Finance, HR, and external vendors to maintain accuracy and ensure exceptional participant experience. This position manages one direct report, the Equity Administrator, and is responsible for process oversight, issue resolution, system integrity, vendor management, and continuous improvement of the company's equity program infrastructure. Due to the nature of work performed within this facility, U.S. citizenship is required.
What You'll Work On:
  • Report to the Director of Executive Total Rewards and lead the global administration of all equity compensation programs, including RSUs, PSUs, stock options, ESPP, and other long-term incentive awards.
  • Oversee end-to-end equity lifecycle processes such as grant issuance, vesting, exercises, cancellations, and participant communications.
  • Ensure compliance with domestic and international regulatory requirements, including tax withholding, securities laws, mobility rules, and country-specific obligations.
  • Serve as the subject-matter expert on international equity administration, coordinating with Legal, Tax, and external advisors.
  • Manage the equity administration platform, ensuring data accuracy, reconciliation, participant support, and system improvements.
  • Act as primary liaison with external vendors, managing service delivery, escalations, and updates.
  • Partner with Payroll and Finance to ensure accurate tax withholding, reporting, reconciliation, and financial accounting of equity awards.
  • Prepare equity-related reporting including audit support, and year-end requirements.
  • Support annual long-term incentive planning including forecasting needs, grant modeling, and cross-team collaboration.
  • Develop and maintain program documentation, SOPs, and governance frameworks.
  • Provide education and guidance to executives, employees, HR partners, and stakeholders.
  • Identify and implement process improvements and automation opportunities.
  • Support M&A activities including assessment of acquired equity programs, conversion modeling, and data integration.
  • Manage and develop one direct report, providing coaching, prioritization, and performance management.

You Have:
  • 7+ years of experience in equity compensation administration
  • Experience managing or coaching staff
  • Knowledge of RSUs, PSUs, options, taxation, and global compliance
  • Knowledge of payroll and financial reporting implications for equity
  • Ability to translate technical concepts
  • Bachelor's degree
  • Certified Equity Professional (CEP) Certification

Nice If You Have:
  • Experience with Fidelity as plan administrator
  • Experience managing equity in multiple international jurisdictions
  • Experience supporting public company reporting or SOX environments
  • Experience with Legal, Tax, Accounting, or HR

Salary at Booz Allen is determined by various factors, including but not limited to location, the individual's particular combination of education, knowledge, skills, competencies, and experience, as well as contract-specific affordability and organizational requirements. The projected compensation range for this position is $142,900.00 to $266,000.00 (annualized USD). The estimate displayed represents the typical salary range for this position and is just one component of Booz Allen's total compensation package for employees.
