If so, our client is seeking a Corporate Paralegal join their team!


The Corporate Paralegal is responsible for providing comprehensive legal and administrative support to the General Counsel and the organization’s legal functions. This individual plays a critical role in supporting the organization’s day-to-day legal needs, including securities compliance, facilitating real estate and lending transactions, and helping ensure compliance with all applicable state and federal law.


This person must be organized, detail-oriented, and capable of managing multiple projects simultaneously. This person must be faith-oriented, exhibit professionalism, maintain confidentiality, and communicate effectively with internal staff, state securities regulators, title companies, and external partners. The ideal candidate will be proactive, adaptable, and committed to supporting the organization’s mission with excellence.


Major Duties and Responsibilities

  • Annually prepare and file documents required by multiple state securities commissions, ensuring accuracy and timely submission.
  • Conduct legal research and analysis on securities regulations, corporate governance, real estate requirements, and recording processes to support ongoing compliance.
  • Draft, review, and maintain contracts, corporate policies and other material to ensure alignment with organizational objectives.
  • Assist General Counsel with occasional mergers and acquisitions and equity investments and matters related to same.
  • Assist with preparing board resolutions, annually updating offering memoranda, and organizing and managing legal files and records.
  • Support the Loan Team and General Counsel in facilitating real estate closings and lending transactions, including reviewing title commitments, loan agreements, and other closing documentation.
  • Assist with analyzing title documents, tax bills, loan documents, and related records to ensure completeness and compliance.
  • Maintain the database of lease agreements, amendments, and related documents for tenants occupying the organization’s real estate holdings.
  • Support the General Counsel in monitoring and maintaining compliance with all laws and regulations applicable to the organization.
  • Assist with setting up document management processes and structures.
  • Professionally communicate with regulators, internal leadership, external counsel, and stakeholders as needed.
  • All other duties and responsibilities as assigned by the General Counsel.


Requirements:

Work Experience Requirement

• Paralegal certification from an accredited institution.

• Minimum of 3 years of experience in securities, real estate, and/or lending transactions.

• Strong understanding of securities regulations or real estate and lending practices.

• Excellent research, analytical, and organizational skills.

• Strong oral and written communication skills.

• Ability to work independently and as part of a team.

• Proficiency in legal research tools and office technology.


Preferred Qualifications

• Experience with securities filings and real estate closings.

• Familiarity with title insurance, tax bills, and loan documents.

• Bachelor's or associate degree in Paralegal/Legal Studies or a related field.
