Job description

I'm working with a premier international law firm that is looking to add a mid-level or senior Fund Formation Associate to its highly regarded New York office.
This is an outstanding opportunity for an attorney looking to build a practice focused on venture capital, growth equity, and private investment fund formation while working with some of the most innovative investment managers and fund sponsors in the market.
What you'll do:
• Advise venture capital, growth equity, and private investment funds throughout the fund lifecycle
• Draft and negotiate fund formation documents, including partnership agreements, LLC agreements, subscription documents, and side letters
• Counsel fund managers on securities laws, fund structures, tax considerations, and regulatory compliance
• Advise on ongoing fund operations, governance, employment matters, conflicts of interest, and management company issues
• Work directly with sophisticated clients on complex, high-profile matters in a collaborative and entrepreneurial environment
Qualifications:
? J.D. (Classes of 2020-2022 preferred)
? Prior experience in fund formation or private investment funds at a large law firm
? Experience representing venture capital, growth equity, private equity, or other private investment funds
? Strong academic credentials from a nationally recognized law school
? Admission to the New York Bar preferred
Compensation:
? Base salary: $310,000-$390,000, plus a highly competitive bonus and benefits package.
