Overview:
Blue Yonder is seeking a motivated and detail-oriented attorney to join our Legal Department as Corporate Counsel, Disputes & Litigation. This position will serve as the frontline Legal advisor and strategic partner for Blue Yonder's global disputes and litigation portfolio, entrusted with initial responsibility for independently assessing, investigating, managing, and resolving pre-litigation disputes, claims, arbitrations, and litigation matters, both offensively and defensively.
Scope:
The ideal candidate is a practical and proactive problem-solver who thrives in a fast-paced environment, exercises sound legal and business judgment, and takes ownership of matters from initial intake through resolution. This role requires exceptional attention to detail, strong analytical skills, and the ability to translate complex facts and contractual provisions into practical, business-focused legal advice.
This position reports to the VP & Deputy General Counsel, Employment & Litigation and works closely with a diverse array of cross-functional stakeholders in Executive Leadership, Sales, Customer Experience, Finance, Security, and IT.
What you will do:
  • Serve as a primary Legal Department contact for commercial disputes, claims, arbitrations, and litigation, including those arising in regions outside the U.S. in coordination with the applicable Blue Yonder regional team.
  • Independently assess legal and business risks, develop dispute resolution strategies, and provide practical, solution-oriented advice to internal stakeholders.
  • Supports the Company's response to customer and vendor-facing software licensing, usage, audit, and compliance disputes escalated by Legal's Software Compliance Team, including matters involving license scope, deployment rights, overuse allegations, contractual restrictions, and settlement negotiations.
  • Manage disputes and claims involving cybersecurity incidents, data security obligations, customer notifications, indemnity demands, bankruptcy, insurance matters, and related investigations.
  • Support intellectual property and competitor-related disputes, including matters involving trade secrets, patents, copyrights, confidential information, and unfair competition allegations.
  • Draft, review, and negotiate settlement agreements, releases, demand letters, response letters, tolling agreements, and other dispute-related documents.
  • Oversee the Company's dispute and litigation management tools and processes, including OpenText Legal Hold and e-Discovery.
  • Manage outside counsel, matter budgets, legal hold and e-discovery processes, and relevant Company policies, including the Outside Counsel Billing Guidelines and Legal Hold Policy.
  • Conduct factual investigations and partner with cross-functional stakeholders to gather evidence, assess risk, preserve relevant information, and develop and execute litigation and settlement strategies.
  • Prepare concise matter summaries, risk assessments, settlement recommendations, and reports for the Legal and Executive Leadership Teams, the Company's Board of Directors, Finance, and auditors.
  • Assess litigation risks in connection with mergers, acquisitions, and other strategic transactions, including due diligence and post-closing integration planning.
  • Monitor legal, regulatory, and litigation developments that may impact the Company's risk profile and advise stakeholders accordingly.
  • Develop and deliver training, guidance, and best practices to help the business identify, mitigate, and manage litigation and dispute-related risks.
  • Support other Legal Department initiatives, including U.S. employment-related matters, disputes, and litigation as needed.
  • Occasional domestic and international travel may be required (less than 10%).

What We Are Looking For:
  • Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with at least one U.S. state bar.
  • 4+ years of experience supporting or managing commercial disputes/litigation at a law firm, in-house legal department, or a combination thereof.
  • Strong attention to detail and the ability to perform close and accurate review and analysis of contracts, facts, evidence, and legal issues.
  • Ability to analyze and interpret complex contractual provisions and provide practical, concise, and business-oriented legal guidance.
  • Experience handling commercial disputes involving contracts, software licensing, business-to-business customer relationships, intellectual property, data security, bankruptcy, competition issues, and/or other complex business matters.
  • Experience drafting and negotiating settlement agreements and other dispute resolution documentation.
  • Knowledge of litigation management, legal holds, e-discovery practices, document preservation obligations, and outside counsel management.
  • Strong written and verbal communication skills, including the ability to present complex legal issues clearly to business and executive audiences.
  • Ability to build trust, foster collaboration, and effectively partner with stakeholders across multiple business functions.
  • Demonstrated ability to independently manage multiple matters simultaneously, prioritize competing demands, and drive issues through resolution with limited supervision.
  • Demonstrated track record of exercising sound judgment and handling sensitive and confidential matters.

Additional preferred qualifications:
  • Experience working in a corporate legal department.
  • Experience supporting and/or advising a global SaaS, cloud, professional services, and/or enterprise technology company.
  • Experience in corporate bankruptcy, insolvency, or creditors' rights matters.
  • Familiarity with the fundamentals of litigation-related insurance coverage issues, including cyber, errors and omissions, and commercial liability policies.
  • Awareness of U.S. GAAP revenue recognition principles as they relate to commercial settlement structures and commercial dispute resolution.
  • Experience in (or willingness to learn) employment law and related disputes/litigation, including restrictive covenant matters (non-disclosure, non-solicitation, and non-competition).

The annual salary range for this position is $130,769.27 - $189,615.38 USD
The salary range information provided, reflects the anticipated base salary range for this position based on current national data. Minimums and maximums may vary based on location. Individual salary will be commensurate with skills, experience, certifications or licenses and other relevant factors. In addition, this role will be eligible to participate in either the annual performance bonus or commission program, determined by the nature of the position.
