Hanwha Q CELLS America Inc. has an exciting opportunity to become part of our Legal Department. We are seeking an attorney to join the company as Senior Counsel to support the Module/Solution Sales business in North America.
This is a new position due to the company's expansion and growth. We are seeking an attorney with at least five years of commercial contracting experience to support the review, drafting and negotiation of transactions involving commercial sales, construction and installation of solar PV modules and energy storage systems, including software solutions. The selected candidate will have responsibility for supporting sales and other commercial teams on a broad range of commercial and legal matters and will serve as a legal point of contact supporting the business units on day-to-day commercial and contractual matters. The selected candidate will be required to collaborate with the businesses and cross-functional teams to effectively mitigate commercial risks and to support corporate strategies and business objectives. This position requires excellent negotiation and drafting skills, strong interpersonal, written and verbal communication skills, and the ability to responsibly handle and complete multiple projects with deadlines in a fast-paced work environment. This position reports to the Deputy General Counsel and the location will be at the Irvine, CA office but remote work may be considered for exceptional candidates.
POSITION DESCRIPTION:
  • Negotiates, drafts, and reviews various agreements and legal documents to accomplish business objectives.
  • Responsible for handling variety of legal matters and projects under general direction.
  • Responsible for participating on project teams and cross-functional groups.
  • Provides practical and actionable advice to management regarding legal matters.
  • Responsible for assisting with compliance initiatives, including training and providing on-going advice to business clients.
  • Work with finance, technology, and client service teams to resolve contractual issues
  • Assist with the development of new company solutions, new contract templates, and guidelines for partner programs.
  • Participate in compliance initiatives including training internal clients on legal and contracting policies or issues.
REQUIRED QUALIFICATIONS
  • 5+ years of relevant professional experience in contract negotiations, with an in-depth knowledge of commercial and contract law preferably in energy or renewable industry
  • Leading law firm or in-house experience; in-house commercial contracting experience supporting a sales organization is a plus
  • Excellent verbal and written communication skills, attention to detail, and solid analytical abilities demonstrated through your work experience
  • Ability to work independently with minimal supervision, prioritize work, and adjust to frequent workload fluctuations
  • Creative problem-solving skills with a focus on achieving client-friendly solutions while managing company risk
  • Adept at anticipating the needs of a fast-paced sales team and working collaboratively to solve problems.
  • Management of Outside Counsel and Internal Resources: Manage and coordinate external counsel on various transactions, ensuring efficient and cost-effective execution. Contribute to the development of internal processes, templates and best practices to streamline transaction execution.
  • Strong negotiation and excellent written and oral communication skills, including drafting complex legal contracts and documents.
  • Good business acumen and provides creative and practical solutions to problems.
  • Adept at communicating in layman's terms and delivering alternatives and solutions in clear, concise manner.
  • Self-starter, highly motivated, adaptable, flexible, and manages multiple projects and competing priorities, and willing to get their hands dirty.
