Location: Multiple U.S. Offices
Experience: 1–3 Years

Our client, a leading international law firm, is seeking a Capital Markets Associate to join its nationally recognized Capital Markets Practice. This is an outstanding opportunity to work on sophisticated securities offerings, SEC compliance, and corporate governance matters for public companies, financial institutions, and emerging growth businesses.

What You'll Work On:

  • Advising issuers, underwriters, agents, and financial institutions on public and private securities offerings
  • Assisting with IPOs, follow-on offerings, investment-grade and high-yield debt issuances, convertible securities, and private placements
  • Counseling public companies on SEC reporting and ongoing compliance obligations
  • Advising on corporate governance matters, stock exchange listing requirements, and board governance
  • Supporting capital-raising transactions across a broad range of industries, including real estate and REITs
  • Collaborating on complex domestic and cross-border capital markets transactions

What We're Looking For:

  • 1–3 years of capital markets or securities experience at a law firm
  • Experience with Securities Act of 1933 transactions and Securities Exchange Act of 1934 reporting and compliance
  • Background representing issuers, underwriters, agents, or financial institutions in equity and debt offerings
  • Experience advising public companies on SEC reporting, corporate governance, and exchange listing requirements
  • Excellent drafting, analytical, and communication skills
  • Strong academic credentials
  • Team-oriented with a desire to take on increasing client responsibility
  • JD from an ABA-accredited law school
  • Active bar admission in the jurisdiction of practice or eligibility to waive in
