The Goldman Sachs Global Banking and Markets -- Equities Derivatives Legal team is seeking an experienced corporate attorney to provide legal support to business teams that structure and execute equity-linked derivatives products. Primary responsibilities will include advising on legal issues in connection with equity-linked derivatives products, and drafting/negotiating/executing derivatives and financing transaction documents.

This attorney must be experienced in ISDA architecture/documentation, U.S. securities law, broker-dealer regulations, Exchange Act rules and some Title VII.  He or she must be comfortable with products for issuers (e.g., ASRs, call-spread overlays and VPFs), as well as products for affiliates/shareholders. Experience with margin loans would be a plus.

Responsibilities:

  • Provide legal advice in connection with equity-linked derivatives transactions (delta one and non-delta one) in a fast-paced environment. 
  • Draft, negotiate and execute transaction documents independently or with other team members
  • Timely identify, escalate and communicate issues to senior members of the legal department
  • Coordinate and collaborate with a diverse set of stakeholders to identify and help mitigate legal, regulatory and reputational risks
  • Instruct/work with/manage external counsel

Qualifications:

  • 3-10 years of experience in equity derivatives at a leading law firm or equivalent experience at a large financial institution.
  • J.D. required; active member of the New York State Bar in good standing.
  • Knowledge of and experience with complex equity-linked derivatives products.
  • Knowledge of and experience with U.S. securities laws (e.g., Section 5), broker-dealer regulations, Exchange Act rules (e.g., 10b5, Rule 144) and some Title VII. 
  • Excellent communications skills
  • Team player with inherent commercial judgment and strong analytical skills.
  • High attention to detail with strong organizational skills and the ability to manage several simultaneous projects under tight deadlines.
  • Ability to engage proactively as an advisor to the business and collaboratively work with other control areas.
  • Self-starter, strong work ethic and personal accountability.
