RSM is seeking an Technology M&A Due Diligence Manager to join the Deal Services (DS) practice. This is an exciting opportunity to join an established, nationally award-winning practice that is experiencing exceptional growth.

Role Responsibilities:

  • Lead client-facing meetings, manage project timelines and deliverables, and oversee budget adherence

  • Develop and analyze financial models to evaluate impact of transactions including bottom-up and top-down IT cost analysis (e.g., cost synergies, TSA replacement) across the P/L evaluating cost pools / vendors and develop one-time cost estimates

  • Manage transaction one-time cost and business run-rate cost models and provide executive level readouts on all cost drivers

  • Analyze key business applications (e.g., ERP, CRM, HRIS) with respect to business / industry requirements (e.g., capabilities, modules, pricing) and complete application dispositioning with input from application leaders

  • Lead technology workstreams (business applications, infrastructure, cybersecurity, etc.) in a post-close engagement while working with a broader Integration/Separation team

  • Support scoping, building, and pricing Transition Service Agreements (TSAs)

  • Determine and document entanglements among people, process, technology, assets, and contracts between Parent (carveout) and NewCo

  • Manage fast-paced technology due diligence engagements for private equity (PE) and strategic clients

  • Produce high quality, value-driven diligence reports and experience participating with clients in meetings critical to closing the transaction (e.g., RWI, buyer calls (sell-side) ...etc.)

  • Minimum Qualifications

  • Bachelor's degree required.
  • 6-11 years of experience.
  • Experience working in client-facing consulting engagements.


Preferred Qualifications

  • Experience supporting private equity or strategic transaction clients.
  • Experience leading technology diligence or post-close initiatives.
  • Master's degree preferred.

At RSM, an employee's pay at any point in their career is intended to reflect their experiences, performance, and skills for their current role. The salary range (or starting rate for interns and associates) for this role represents numerous factors considered in the hiring decisions including, but not limited to, education, skills, work experience, certifications, location, etc. As such, pay for the successful candidate(s) could fall anywhere within the stated range.

Compensation Range: $119,100 - $239,300

Individualsselected for this role will be eligible for a discretionary bonus based on firm and individual performance.
