Who We Are - Company Overview
At CSC, we equip innovators with the tools they need to accelerate progress and build a better future.
Established in 1986, CSC Leasing is a family-owned, independent equipment financing company located in Richmond, Virginia, with regional offices throughout the United States. With over $2 billion in financed transactions and $1.3 billion in assets under management, CSC has built a reputation for deep industry expertise, a relationship-driven approach, and flexible financing solutions tailored to companies ranging from venture and private equity backed companies to Fortune 500 companies.
We work with clients across diverse industries-including life sciences, biotechnology, clean-tech, AI, manufacturing, and more-helping them acquire essential assets in a cost-effective manner through innovative and competitive leasing programs. Our responsive, client-centered service ensures businesses can access the resources they need to drive growth and innovation.
Overview of Role
At CSC, every agreement we sign protects the business and moves a deal forward - legal is not a bottleneck, it is how we grow with confidence. The Associate General Counsel is CSC's dedicated contracting attorney, owning a high-volume deal pipeline and building the scalable contracting processes and playbooks that let the business grow with discipline.
Reporting directly to the General Counsel, this role is centered on negotiating and documenting the agreements that drive CSC's equipment financing business, while also supporting the General Counsel across the broader legal function. This individual owns CSC's contracting playbooks, ensures consistent enforcement of negotiating positions, and serves as the primary point of contact with counterparty counsel on deal terms.
This is an excellent opportunity for an experienced transactional attorney who thrives in a high-volume, fast-paced deal environment and is excited to build and own scalable contracting processes within a dynamic, values-based environment as CSC continues to grow.
Team Dynamics
• Reporting Structure: Report directly to the General Counsel, ensuring the contracting function operates in lockstep with CSC's broader legal strategy.
• Cross-Functional Partnership: Serve as the primary point of contact with counterparty counsel on deal terms while partnering closely with business teams and cross-functional stakeholders across CSC.
• Deal Environment: Operate in a dynamic, fast-paced, high-volume contracting environment where consistency, precision, and scalability are core to the mission.
Key Responsibilities
Contracting - Core Focus
This position serves as CSC's primary attorney for deal documentation, with direct responsibility for:
• Master Lease Agreements (MLAs) and equipment schedules
• Guaranty and other financial agreements
• Non-Disclosure Agreements (NDAs), including ownership of the NDA pipeline from intake to execution
• Vendor agreements and procurement contracts
• Hardware-as-a-Service (HaaS) agreements
• Landlord Lien Waivers (LLWs)
• Ancillary deal documentation
General Legal Support
• Assist the General Counsel across all legal matters, including litigation, bankruptcy, and regulatory matters as needed.
Success Measures
• Deal cycle time and contracting velocity across MLAs, guaranty's, and ancillary documentation.
• Consistent enforcement of CSC's negotiating positions and playbook standards across all deal types.
• Throughput and control of the NDA pipeline from intake to execution.
• Scalability and efficiency of contracting processes as deal volume grows.
Requirements
Qualifications
Required
• J.D. from an accredited law school and an active license to practice law.
• 3-5 years of relevant transactional/contracting experience.
• Excellent communication skills and ability to collaborate across teams.
• Strong organizational skills, comfort with ambiguity, and a proactive mindset.
Preferred
• Big law experience with a focus on commercial transactions, finance, or equipment leasing.
• In-house experience at a bank, equipment finance company, or other financial institution.
• Familiarity with UCC Article 9, secured lending, and equipment finance structures.
• Experience with HaaS/SaaS agreements.
• Strong preference for candidates with proficiency in AI-powered legal tools (e.g., contract review AI, legal research platforms, document automation) and a demonstrated ability to integrate AI into day-to-day legal workflows.
• Experience in leasing, fintech, or VC-backed environments.
Skills & Attributes
• Project Execution - Manage multiple ongoing deals and initiatives - contract negotiation, deal flow management - with strong attention to deadlines and detail.
• Collaboration & Adaptability - Work effectively with the General Counsel, business teams, cross-functional teams, and outside/counterparty counsel in a dynamic, fast-paced environment.
• Tech Proficiency - Leverage platforms like Microsoft Office, AI tools, Salesforce, and DocuSign to streamline documentation, reporting, and communication.
• Process Management - Develop, refine, and own internal contracting processes that enhance efficiency, control risk, and ensure scalability.
• Contract Literacy - Review, interpret, negotiate, and draft legal agreements with precision and clarity, ensuring alignment with CSC's risk standards and business needs.
Compensation & Location
• $120,000-$155,000 base salary + bonus based on company performance.
• In-office position, based at CSC's Richmond, Virginia office.
