Job description

Overview

Regeneron’s Corporate Governance & Securities Team seeks an experienced attorney to serve as a strategic and solutions‑oriented partner supporting our rapidly growing, globally expanding business. The role includes providing proactive legal advice on global subsidiary management, corporate governance, and general corporate matters, along with public company reporting, securities law compliance, treasury financing, and corporate transactions. Work location: Sleepy Hollow, NY (Hybrid: 4 days per week on site).

Responsibilities
  • Provide proactive legal advice on global subsidiary management, corporate governance, and general corporate matters.
  • Support public company reporting, securities law compliance, treasury/financing matters, and corporate transactions.
  • Serve as a dedicated resource for Regeneron’s approximately 30 domestic and international subsidiaries, handling statutory financial statement audits, corporate filings, and banking mandates.
  • Manage and maintain Regeneron’s cloud‑based corporate document database (hCue), ensuring data integrity and accessibility of corporate records.
  • Draft and maintain shareholder and board resolutions, consents, agendas, secretary’s certificates, and related records.
  • Provide legal advice regarding intercompany transactions, including intercompany financing arrangements.
  • Assist with shareholder/equityholder meeting matters and board/committee meetings for subsidiaries.
  • Oversee the formation and setup of future domestic and international subsidiaries.
  • Work across international jurisdictions and cross‑functional teams to manage competing priorities and reduce reliance on outside counsel.
  • Assist with SEC reporting and related filings (Forms 10‑K, 10‑Q, 8‑K, Section 16 reporting), financing matters, and legal support of the treasury function.
Qualifications
  • JD with excellent law school credentials.
  • Licensed to practice law in NewYork or eligible for licensure as registered in‑house counsel in NewYork.
  • 8–10 years of experience in SEC reporting, public company compliance, corporate governance, and/or global subsidiary management.
  • Experience with international subsidiary management and cross‑border corporate governance matters is a strong plus.
  • Law‑firm training preferred; prior in‑house experience a plus.

Salary Range

Annually: $205,000.00 – $341,600.00.
