Job description

Stillwater Sciences seeks a highly motivated Contract Analyst to support the review, negotiation, administration, and tracking of contracts across the company. Candidates should have experience working at a professional services organization, consulting firm, or in the Architecture, Engineering, Construction (AEC) industry. This role reviews and manages professional service agreements and subconsultant agreements, identifies contractual risks, supports contract negotiations, and helps ensure compliance with company policies and client requirements. The Contract Analyst partners closely with project managers and company leadership to protect Stillwater's interests while supporting successful project delivery. The ideal candidate is detail-oriented, analytical, collaborative, and able to communicate complex contractual concepts clearly. This is a full-time, exempt position that may be based remotely or from any of Stillwater Sciences' offices.

What you'll do:


Contract Review, Negotiation, and Risk Management

  • Review and analyze client, prime, and subcontract agreements to identify contractual obligations, risks, and key contractual terms, including indemnification, intellectual property, payment, insurance, and confidentiality provisions.
  • Evaluate prime contract and client contract provisions for consistency and applicability to our work.
  • Compare agreed-to contract terms from previous contracts with new contracts.
  • Evaluate flow-down provisions from client contract when Stillwater is a subcontractor.
  • Review standard agreements embedded in requests for proposals and draft requested edits/additions as part of our proposal to the client.
  • Identify unacceptable contract terms and conditions and draft alternative language with thoughtful and professional rationale and responses.
  • Work with Stillwater signatories and project managers to negotiate acceptable contract terms and conditions.
  • Work with stakeholders and counsel to develop and maintain standard contract language, templates, and negotiation guidelines.
  • Interpret and communicate complex contract terms clearly and succinctly to non-legal stakeholders.

Contract Administration

  • Develop and maintain organized contract records and operational processes.
  • Process contracts and amendments for project set-up, including document management.
  • Support project managers with preparation, execution, and administration of subconsultant agreements.
  • Manage Certificates of Insurance and insurance-related requests in coordination with an insurance broker.
  • Coordinate and communicate directly with client and subconsultant project managers and/or contract analysts as needed.
  • Recommend process improvements to improve efficiency and consistency.


Qualifications:

  • Bachelor's degree in business, English, or legal-related field of study.
  • A minimum of three years' experience processing contracts with progressively increasing responsibilities including reviewing, redlining, and negotiating with third parties (an equivalent combination of education and experience which would provide the required knowledge, skills, and abilities may be considered).
  • Advanced Microsoft Office (Word, Excel, and Outlook) and Adobe Acrobat skills.
  • Ability to remain in a stationary position more than 50% of the time and operate a computer and other standard office equipment with reasonable accommodation.

Desired Skills and Attributes:

  • Experience in contract management and familiarity with legal requirements and terms of use, particularly in California. Certification or extension coursework in contract management a plus.
  • Experience supporting contracts within environmental consulting, architecture, engineering, construction (AEC), or other professional services organizations.
  • Experience reviewing public agency contracts and subconsultant agreements.
  • Strong analytical and critical thinking skills; extremely detail oriented.
  • Collaborative and customer-service-oriented approach.
  • Self-motivated with strong follow-through and ownership of responsibilities.


Compensation and Job Details:

  • This is a full-time, 40 hours/week exempt position that can be performed remotely or be based in any of our nine offices (California: Arcata, Berkeley, Los Angeles, Morro Bay, Sacramento, Ventura; Colorado: Boulder, Fort Collins; Oregon: Portland).
  • For the Contract Analyst position, we anticipate the salary range to be $75,000-$95,000. Salary is commensurate with qualifications and experience.
  • Pay within this range isdeterminedin good faith and based on a combination of factors, which may include relevant education, qualifications, certifications, experience, skills, performance expectations, shift and travel requirements, and business or organizational needs. For candidates who meet the stated qualifications and experience, Stillwater typically targets pay near the midpoint of the range, recognizing that individual placement may vary.
