Tax Attorney | San Juan, Puerto Rico

Frost Law is expanding its presence in Puerto Rico and seeking a driven, business-minded Tax Attorney to join our team. This is a unique dual-focus role blending tax controversy representation with transactional and business law work โ€” ideal for an attorney who thrives on variety, wants to build something, and is eager to serve a dynamic client base in one of the most strategically important tax jurisdictions in the U.S. market.

You will represent clients in disputes with federal and state tax authorities while also advising on corporate transactions, business structuring, and commercial agreements. This role carries real growth potential, including the opportunity to help shape and expand the firm's Puerto Rico practice over time.

Key Responsibilities Tax Controversy
  • Represent individuals, businesses, and nonprofit organizations in federal and state tax audits, appeals, and litigation.
  • Draft legal memoranda, IRS correspondence, and Tax Court petitions.
  • Conduct legal research on the Internal Revenue Code, Treasury Regulations, case law, and IRS guidance.
  • Negotiate Offers in Compromise, Installment Agreements, penalty abatement requests, and other tax resolutions.
  • Handle collection due process hearings, trust fund recovery penalties, and innocent spouse claims.
  • Interact with clients and government agencies in a professional and timely manner.
Transactional & Business Law
  • Draft, review, and negotiate commercial contracts including vendor agreements, NDAs, service agreements, licensing deals, and partnership contracts.
  • Advise clients on legal risks and business terms related to corporate transactions.
  • Support M&A activities including due diligence, deal structuring, and post-closing integration.
  • Ensure compliance with corporate governance and regulatory requirements.
  • Monitor and advise on changes in relevant laws and regulations impacting clients and their businesses.
  • Collaborate with firm attorneys across practice groups to deliver integrated legal solutions.
Practice Development
  • Help develop and grow Frost Law's Puerto Rico client base through referrals, networking, and expanded service offerings.
  • Mentor junior attorneys and support staff as the local team grows.
