Job description


The Manager of Compliance is responsible for leading and managing the Bank's Compliance function and for establishing, maintaining, and ensuring the ongoing effectiveness of the Bank's Compliance Management System in alignment with the Bank's Compliance Policy, regulatory expectations, enterprise risk management practices, and the Bank's strategic objectives.
This role serves as the Bank's senior leader responsible for compliance risk management and acts with authority delegated by the Chief Risk Officer. The Manager of Compliance provides independent second line oversight across all applicable compliance risk areas and serves as a key advisor and resource to executive management, risk committees, and the Board of Directors.
The Manager of Compliance partners closely with first line business units, BSA Compliance, Enterprise Risk Management, Internal Audit, and Legal to ensure regulatory requirements are appropriately interpreted, operationalized, and embedded into business processes and controls. The role is accountable for managing compliance staff, setting departmental priorities, and ensuring compliance activities are executed with consistency, quality, and timeliness. The Manager of Compliance also serves as the primary executive liaison with regulators for compliance related matters.
Education and Experience Requirements:
• Bachelor's degree in risk management, business, finance, accounting, or a related field required.
• Juris Doctor (JD) from an accredited ABA law school strongly preferred.
• At least eight (8) years of progressive experience in regulatory compliance, risk management, audit, or a related function within the financial services industry.
• Demonstrated ability to interpret and apply complex regulatory requirements and translate them into effective policies, procedures, and operational controls.
• Strong written and verbal communication skills, with experience advising senior management and preparing executive and Board level materials.
• Proven leadership and people management skills, including the ability to manage workload, establish priorities, and develop staff.
• Experience working directly with regulators, with regulatory examinations and audit coordination preferred.
• Effective planning, time management, and organizational abilities.
• Experience supporting enterprise-level initiatives and working across departments to deliver results.
Essential Functions:
• Lead, manage, and develop Compliance department staff, establishing expectations, accountability, and performance standards consistent with senior management objectives and regulatory expectations.
• Serve as the senior management owner of the Bank's Compliance Policy, including responsibility for its ongoing administration, interpretation, periodic review, and coordination of updates to reflect changes in laws, regulations, regulatory guidance, and supervisory expectations.
• Establish, maintain, and ensure the ongoing effectiveness of the Bank's Compliance Management System, including governance, policies, procedures, monitoring, risk assessments, issue management, and regulatory change management.
• Chair the Compliance Committee and provide senior management level leadership and oversight of compliance governance, including agenda setting, issue escalation, reporting, and coordination with the Enterprise Risk Management Committee and the Board of Directors, as appropriate.
• Provide compliance interpretation and practical implementation guidance on federal and state banking laws and regulations applicable to the Bank, including advising business units and executive leadership on compliance risk, policy obligations, control expectations, and operational requirements; partner with the Legal Department for legal advice, formal legal interpretations, and maters requiring attorney review.
• Serve as a primary compliance advisor and resource to executive management, risk committees, and the Board of Directors.
• Oversee the Bank's third-party risk management compliance oversight, including governance, risk assessments, due diligence expectations, monitoring, issue escalation, and coordination with business owners and Enterprise Risk Management.
• Serve as the Bank's primary executive liaison with regulatory agencies for compliance related matters, including examinations, supervisory communications, and ongoing regulatory engagement.
• Direct and oversee responses to regulatory examinations, audits, and internal reviews, including the development, execution, and tracking of corrective action plans.
• Escalate material compliance risks, issues, and control deficiencies to executive management, risk committees, and the Board of Directors, as appropriate.
• Partner with business lines to support new products, services, initiatives, and strategic changes, ensuring compliance risks are identified, assessed, and appropriately managed.
• Support Enterprise Risk Management initiatives and contribute to enterprise-wide risk identification, assessment, and reporting.
• Lead initiatives to enhance compliance processes, strengthen controls, improve efficiency, and reduce the risk of error.
• Ensure compliance activities and deliverables are completed in a timely, accurate, and professional manner consistent with regulatory expectations and internal standards.
Perform additional duties as assigned to support departmental and organizational objectives.
