Capital Markets Mid-Level Associate Attorney

Location: Los Angeles, CA (relocation candidates welcome)

A leading global law firm is seeking a Mid-Level Associate Attorney with approximately 4โ€“6 years of capital markets and securities experience to join its Capital Markets practice in Los Angeles.

This is an opportunity to join a highly ranked, Chambers Band 1 West Coast Capital Markets practice known for handling some of the most complex and high-profile equity and debt transactions in the market.

Position Overview

The Capital Markets group represents public and private companies, investment banks, REITs, and private equity sponsors in sophisticated securities and corporate transactions. The practice is known for its ability to execute market-leading deals across a wide range of structures and industries, with a strong focus on both traditional and innovative capital markets work.

Attorneys in this group work on headline transactions and gain significant exposure to clients, deal strategy, and execution at a high level.

Responsibilities
  • Lead and support capital markets transactions across equity and debt offerings
  • Work on IPOs, follow-on offerings, private placements, and at-the-market offerings
  • Handle investment-grade debt, high-yield debt, and convertible securities transactions
  • Structure and execute complex transactions including tender offers, exchange offers, consent solicitations, rights offerings, spin-offs, recapitalizations, and restructurings
  • Advise on securities law compliance, public disclosure obligations, and corporate governance matters
  • Work directly with issuers, underwriters, and institutional investors
  • Manage components of transactions with increasing independence
  • Collaborate with attorneys across offices and practice groups on complex matters
Qualifications
  • 4โ€“6 years of experience in capital markets and securities transactions at a law firm
  • Strong experience with IPOs, equity offerings, and debt capital markets transactions
  • Experience advising on public company reporting and corporate governance matters
  • Excellent drafting, negotiation, and analytical skills
  • Strong ability to manage deal workstreams and operate in fast-paced transactions
  • High level of academic achievement and strong law firm experience
  • Active member of the California Bar or eligible to waive in
Compensation

The expected base salary range for this position is $260,000 โ€“ $390,000 annually, with eligibility for a discretionary year-end bonus. Compensation is determined based on experience, skills, and other job-related factors consistent with applicable law.
