Job description

Structured Finance Career Associate Attorney

Direct Counsel is seeking a Structured Finance Career Associate Attorney to join a prestigious Am Law firm in Los Angeles or New York City.

This is an outstanding opportunity for an attorney with 4-7 years of structured finance experience to join a nationally recognized Structured Finance practice. The team advises clients on some of the industry's most innovative securitization and asset-backed finance transactions, including residential mortgage-backed securities (RMBS), commercial mortgage-backed securities (CMBS), asset-backed securities (ABS), collateralized loan obligations (CLOs), re-securitizations, repackagings, and other sophisticated financing structures.

This position is part of the firm's Career Associate Program, designed for experienced attorneys who are passionate about practicing law and delivering exceptional client service while pursuing an alternative to the traditional partner track.

Responsibilities
  • Represent clients in a broad range of structured finance and securitization transactions.

  • Advise on RMBS, CMBS, ABS, CLOs, repackagings, re-securitizations, and other structured finance matters.

  • Draft, review, and negotiate transaction documents and financing agreements.

  • Assist with transaction structuring, execution, due diligence, and closings.

  • Advise clients on regulatory developments impacting structured finance transactions.

  • Manage multiple complex transactions in a fast-paced environment while maintaining exceptional client service.

  • Collaborate closely with attorneys across multidisciplinary transaction teams.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in the bar of the office where the attorney will be located.

  • 4-7 years of relevant structured finance or securitization experience at a law firm.

  • Strong client service orientation and the ability to manage multiple sophisticated matters simultaneously.

  • Excellent drafting, analytical, organizational, and communication skills.

  • Outstanding academic credentials.

  • Highly motivated, collaborative, and able to thrive in a fast-paced team environment.

Compensation & Benefits
  • Salary: $150,000-$234,000, commensurate with experience and qualifications.
