POSITION SUMMARY

The Associate General Counsel ensures rail and other transportation-related documents and agreements are prepared according to OmniTRAX policy.ย  Assists General Counsel with litigation and employment related claims, including primary responsibility for specific claim or litigation matters.ย  Periodic updates to OmniTRAX management and company ownership regarding legal and railroad issues. Negotiates contracts for the managed companies of OmniTRAX, Inc., including, but not limited to, contracts involving purchasing, operating and commercial activities, land services and independent contractors and joint facilities.ย  Reviews and assists Commercial and Operational departments with Railroadsโ€™ public tariffs, interline rates, and contracts with outside rail entities.ย  Works with other department attorneys to create and update contract forms within proper processes and software programs for Commercial, Real Estate, Strategic Initiative (M&A), Purchasing, Procurement, Operations, and Engineering, and handle customer issues as needed.ย ย  Works with other departmental attorneys in performing due diligence activities for potential target acquisitions and purchases.ย  Oversees OmniTRAX contract procurement protocol and provides input for updates and changes to policies and procedures.ย  Coordinates efforts of various OmniTRAX departments to assist with needs and to meet companyโ€™s strategic goals.ย  Manages outside counsel working on regulatory matters, litigation, and legal agreements.

The Associate General Counsel demonstrates and adheres to the Company values of safety, honesty, ownership, respect and teamwork to ensure successful partnership with customers and employees that result in OmniTRAXโ€™s continued success.

ESSENTIAL RESPONSIBILITIES
  • Prepare, review, analyze and negotiate all types of contractual arrangements entered into by all OmniTRAX managed affiliate companies
  • Prepare tariffs and contact forms
  • Provide legal and commercial advice to OmniTRAX departments and affiliates
  • Coordinate and manage outside counsel
  • Maintain and comply with OmniTRAX contract procurement policies: develop and update contract related policy and procedures to increase process efficiencies
  • Advise all levels of OmniTRAX on legal and commercial issues, and on specific legal matters, including mergers and acquisitions
  • Experience with contract management software as primary contact and touchpoint for new agreement requests, including ensuring execution of contracts is within accepted company policy
  • Collaborate with executive team members and General Counsel to provide advice and professional guidance on risks and suitability of contracts toward the attainment of Company goals.
  • Manage all contractual issues and changes to contracts; ensure changes are communicated to appropriate internal staff and external business associates, as required
  • Assist with litigation and claims management, as needed

  • Juris Doctor Degree
  • 10-15 yearsโ€™ related experience; 8-10 years in a senior leadership role
  • Experience with contracts; including experience drafting and negotiating contracts
  • Exceptional negotiation skills
  • Strong business acumen: clearly recognize risk elements in business transactions
  • Resolve complex contracting issues with win-win solutions while meeting company objectives
  • Excellent attention to detail; organization and prioritization skills
  • Strong independent judgment and identification, analysis and resolution of significant issues
  • Superior problem-solving skills; think โ€œout of the boxโ€ for innovative solutions
  • Excellent verbal and written communication skills; effectively converse with all levels of the company
  • Intermediate computer skills in Microsoft Office Suite

  • Exact starting salary is determined by merit; seniority; geographic location; education, training, and/or experience related to job duties and responsibilities
  • FLSA Status: Exempt, Not Eligible for Overtime
  • Eligible for Participation - Annual Discretionary Bonus
