Application Instructions
We are seeking an Associate General Counsel to join our legal team at E.R. Snell Contractor, Inc. and provide strategic legal guidance across all aspects of our business operations. This role is intentionally structured as a path to General Counsel, offering a high-growth opportunity for a motivated attorney to develop deep familiarity with our business and ultimately assume full leadership of the legal function.
The position will report to and work closely with our current General Counsel, who is transitioning into a Chief Legal Officer role as the company grows. The position offers an excellent opportunity for a motivated attorney with some combination of law firm or in-house corporate legal experience to transition into or advance within an in-house role, contribute meaningfully to our operations, and build toward a senior leadership role in the construction and heavy civil infrastructure industry.
Position Description
Key Responsibilities
Legal Advisory & Compliance
    • Provide legal counsel on corporate governance, regulatory compliance, and risk management matters.
    • Draft, review, and negotiate a wide variety of commercial agreements including subcontractor agreements, supplier contracts, licensing agreements, and strategic partnerships.
    • Advise on employment law matters and support HR initiatives.
    • Monitor and ensure compliance with applicable federal, state, and local regulations including construction industry regulations.
    • Develop and maintain corporate policies and procedures.

Commercial Transactions
    • Lead contract negotiations and manage the contract lifecycle process.
    • Support merger and acquisition activities, including due diligence and integration.
    • Advise on intellectual property matters including trademark and copyright protection.
    • Handle real estate transactions and lease negotiations.
    • Manage relationships with outside counsel and coordinate legal spend.

Strategic Business Support
    • Partner with business teams to identify and mitigate legal risks.
    • Provide training to employees on legal and compliance matters.
    • Support business development and project initiatives from a legal perspective.
    • Advise executive leadership on corporate strategy and governance matters.
    • Manage litigation and disputes in coordination with external counsel.
    • Handle construction-related legal matters including lien issues, bond claims, and project disputes.

Position Requirements
Required Qualifications
    • Juris Doctor (J.D.) degree from an accredited law school.
    • 3-7 years of experience practicing law, with preference for candidates with law firm experience.
    • Active bar admission in Georgia or eligibility for admission to the Georgia Bar.
    • Strong background in corporate law, commercial transactions, or business law.
    • Excellent written and verbal communication skills.
    • Strong analytical and problem-solving abilities.
    • Ability to work independently and manage multiple priorities in a fast-paced environment.

Preferred Qualifications
    • Experience in construction law or the construction industry.
    • Background in mergers and acquisitions.
    • Employment law experience.
    • Intellectual property knowledge.
    • Government contracting experience.
    • Real estate law experience.

Location
