Compensation & Growth Path

This is a part-time equity / token-based cofounder opportunity. You will receive equity in Launch Legends and Autheo, along with token allocations in the Autheo blockchain. We have already completed an initial financing round to support infrastructure and marketing, and are currently in discussions with VCs and crypto investors to fund expansion and salaries. Salaried compensation is expected to begin within 3 to 5 months, following our node, token sales or funding.

Role: General Counsel & Head of Legal (Blockchain, Digital Assets, Payments & Financial Infrastructure)

Autheo is building the sovereign Layer-0 Operating System and Layer-1 blockchain engineered to power the next generation of decentralized infrastructure — DePIN networks, AI agent orchestration, decentralized identity, and enterprise Web3 platforms. A cornerstone of our strategy is the pursuit of a U.S. OCC national trust bank charter, enabling direct, compliant integration with traditional financial services through ISO 20022 payments and institutional digital asset custody.

In this part-time Equity Cofounder role as General Counsel & Head of Legal, you will serve as the chief legal architect and regulatory strategist. You will design the frameworks that protect our most advanced technologies — including post-quantum cryptography, zk-proofs, and AI-driven systems — while unlocking scalable, regulated financial products and strategic partnerships.

Your scope includes securities and digital asset regulation, token launches and classification, payments and custody compliance (AML/KYC/OFAC), leadership of the OCC national trust bank charter application and related licensing strategies, intellectual property protection for protocol and financial innovations, corporate governance across a global network of equity cofounders, and negotiation of complex commercial and developer agreements. You will embed compliance-by-design principles in close collaboration with engineering, product, banking strategy, and executive teams.

This is a high-leverage role at the frontier where cryptographic innovation meets financial regulatory excellence. We are looking for a specialist with deep experience in both Web3/crypto regulatory matters and banking, trust company, or fintech charter work — someone ready to help shape the legal and compliance architecture for how decentralized infrastructure and traditional finance converge at scale.

Key Responsibilities

1. Regulatory Strategy, Compliance & Banking Charter Leadership

  • Lead development of global compliance frameworks for Layer-1 blockchain operations, DePIN infrastructure, tokenomics, decentralized identity (AutheoID), payments, and digital asset custody solutions.
  • Advise on US and international regulations including SEC, CFTC, FinCEN (AML/KYC/OFAC), OCC, GDPR, and emerging crypto/fintech legislation.
  • Provide direct legal support for the OCC national trust bank charter application in close coordination with banking strategy and executive leadership. Design licensing strategies (VASP, MSB, MTL, trust company) and proactive regulatory engagement plans across key jurisdictions.

2. Corporate Governance, Contracts & Intellectual Property

  • Draft, review, and negotiate complex agreements for strategic partnerships, vendor contracts, equity/token allocations, developer ecosystem programs, custody agreements, and financial services integrations.
  • Establish and maintain robust corporate governance structures supporting nearly 100+ equity cofounders, potential banking subsidiary formation, and future growth.
  • Protect intellectual property for proprietary blockchain execution, FHE, zk-proofs, AI integration technologies, and financial infrastructure innovations.

3. Risk Management, Legal Operations & Compliance-by-Design

  • Identify, assess, and mitigate legal and regulatory risks across product development, token launches, enterprise integrations, payments platforms, and custody operations.
  • Oversee dispute resolution, litigation strategy (proactive and defensive), and insurance programs.
  • Collaborate cross-functionally with engineering, product, compliance, banking strategy, and executive teams to embed “legal-by-design” and “compliance-by-design” principles into the core platform and financial service offerings.

4. Thought Leadership, Ecosystem Building & Regulatory Engagement

  • Represent Autheo in regulatory forums, industry associations, policy discussions, and engagements with banking and financial regulators.
  • Contribute to whitepapers, publications, and thought leadership on blockchain governance, legal frameworks for digital assets and payments, and compliant DeFi models.
  • Mentor the team on legal best practices and foster a culture of proactive compliance excellence.

Deliverables (90 Days)

  • Comprehensive global regulatory compliance roadmap and gap analysis covering current and planned Autheo features, digital assets, payments, custody, and OCC charter requirements.
  • Initial set of standardized legal templates, policies, and agreements for partnerships, cofounder equity, developer terms, platform operations, and regulated financial services.
  • Legal gap analysis, risk assessment framework, and support documentation for the OCC charter application and integrated banking + blockchain model.
  • Regulatory engagement strategy with initial regulator mapping (crypto + banking/financial regulators) and IP protection audit/strategy for core technologies (post-quantum crypto, L1 consensus, AI agents, custody/financial tech).
  • Cross-functional training materials and presentation to leadership on key legal priorities for token launch, mainnet, and regulated financial infrastructure rollout.

Qualifications

Required:

  • JD from a top-tier law school with active bar membership in at least one US jurisdiction (additional international qualifications or bar admissions a plus).
  • 8+ years of progressive legal experience, with significant focus (4+ years) on cryptocurrency, blockchain, DeFi, Web3 technologies, and/or fintech, payments, digital assets, or financial services law.
  • Proven track record advising on token launches, securities law compliance (Howey test, Reg D, Reg A+, etc.), digital asset regulations, payments compliance, and/or supporting bank charter, trust company, or similar regulated financial applications.
  • Deep expertise in digital asset taxation, data privacy (GDPR/CCPA), payments systems, digital asset custody, AML/KYC frameworks, and IP law in emerging tech.

Preferred:

  • Prior in-house General Counsel, Head of Legal, or senior legal leadership role at a blockchain/crypto company, fintech, payments provider, or regulated financial institution (bank, trust company, or broker-dealer).
  • Direct experience with DePIN, Layer-1 protocols, enterprise blockchain adoption, OCC charter applications, or federal banking regulatory processes.
  • Established network with regulators, policymakers, crypto/fintech legal specialists, or banking compliance experts.
  • Publications, speaking engagements, or thought leadership in blockchain law, fintech regulation, digital assets, or payments.

Soft Skills:
