Emerging Companies & Venture Capital Associate Attorney
Locations: Seattle, WA | Portland, OR

Direct Counsel is seeking an Emerging Companies & Venture Capital Associate Attorney to join the corporate practice of a highly respected Am Law firm. This is an exciting opportunity for a junior to mid-level attorney to work with innovative startups, founders, and venture capital investors on sophisticated transactions throughout the company lifecycle.

The ideal candidate will have 2–4 years of law firm experience in emerging companies, venture capital, or general corporate transactions and a passion for advising high-growth companies in the technology and startup ecosystem.

Responsibilities
  • Advise emerging growth companies and founders on corporate governance, entity formation, and general corporate matters throughout the company lifecycle.
  • Represent startups in venture capital financings, including seed, Series A, and later-stage equity financings.
  • Represent venture capital funds and other investors in venture financing transactions.
  • Assist clients with strategic transactions, including mergers, acquisitions, and secondary transactions.
  • Draft, review, and negotiate financing documents, corporate governance documents, investor rights agreements, and other transaction documents.
  • Counsel founders and management teams on strategic business and operational matters.
  • Collaborate with attorneys across multiple practice areas, including technology transactions, privacy, and other corporate specialties, to provide comprehensive legal solutions.
Qualifications
  • J.D. from an accredited law school.
  • 2–4 years of experience in emerging companies, venture capital, or corporate transactional law at a law firm.
  • Experience advising startups on venture financings, company formation, and general corporate matters.
  • Strong drafting, negotiation, analytical, and communication skills.
  • Ability to manage multiple matters in a collaborative, fast-paced environment.
  • Demonstrated interest in working with technology companies, founders, and venture capital investors.
  • Active bar admission, or eligibility for admission, in the jurisdiction where the candidate will be based.
Compensation & Benefits
  • Salary Range: $215,000 – $290,000, depending on experience, qualifications, and other job-related factors.
