Job description

Position Summary

The Associate Corporate Counsel provides legal support across a broad range of corporate, commercial, and operational matters. This role is responsible for reviewing, drafting, and negotiating commercial agreements, advising business partners on legal risks, supporting dispute resolution efforts, and contributing to corporate compliance and initiatives. The Associate Corporate Counsel works collaboratively with other members of the Legal Department and Operations, QHSE, Human Resources, Procurement, Real Estate, Tax, Finance, and Accounting, as well as Executive Leadership to provide practical, business-focused legal guidance that supports organizational objectives while managing legal risk.

Role Details:

  • Hybrid role, based out our Oakville, Ontario office, or another East Coast based office. Monday - Friday, 40 Hours/week.
  • Permanent, full time. Salary range is $115,000 - $140,000.
  • Bilingual proficiency in French is strongly preferred.
Responsibilities
  • Draft, review, negotiate, and manage customer, supplier, and other commercial agreements while providing oversight and guidance to non-attorney members of the Contracts Review Team.
  • Provide legal guidance and support for commercial transactions and business initiatives.
  • Support senior members of the Legal Department in assisting with dispute resolution, including evaluating legal issues, responding to discovery, and coordinating with internal stakeholders and outside counsel as needed. Previous litigation experience (including through internships) is a plus.
  • Develop, support, and deliver legal, contractual, and compliance programs and related training across the organization.
  • Present legal topics to employees, management, and leadership in a clear and practical manner.
  • Partner with other functional departments and Executive Leadership to identify legal risks and develop practical solutions.
  • Support corporate governance, policy development, and strategic legal initiatives.
  • Identify opportunities to improve legal processes, contract management, and business practices.
  • Conduct legal research and prepare legal memoranda, correspondence, and other documentation.
  • Stay current on legal and regulatory developments affecting the organization.
  • Utilize AI and further develop AI processes to complete all duties.
  • Other work duties as assigned.
Requirements
  • Bachelor's Degree in Law, or Juris Doctor (JD) from an accredited law school.
  • Active membership in good standing with a Canadian provincial or territorial law society, with authorization to practice law in Canada.
  • Minimum 2-4 years of legal experience, preferably in-house or at a law firm supporting commercial clients in a related field. Experience supporting international operations is preferred.
  • Bilingual proficiency in French is strongly preferred.
  • Internship, articling, or clerkship experience in corporate or commercial law is considered an asset.
  • Demonstrated experience drafting, reviewing, and negotiating commercial contracts.
  • Experience supporting engineering, construction, industrial services, manufacturing, or similar industries preferred.
  • Knowledge of Microsoft O365, specifically SharePoint, OneDrive, Outlook, and Teams and legal AI tools, specifically Luminance and LexisNexis
  • Experience utilizing legal AI tools for research, drafting and management of legal processes.
  • Strong knowledge of contract law, commercial transactions, and corporate legal principles.
  • Excellent contract drafting, review, negotiation, and legal research skills.
  • Strong analytical, problem-solving, organizational, and decision-making abilities.
  • Excellent written (both in formal correspondence and daily email interaction), verbal, presentation, and interpersonal communication skills, with the ability to effectively communicate legal concepts to diverse audiences.
  • Ability to build collaborative relationships and partner effectively with executive leadership, business leaders, and field personnel.
  • Ability to manage multiple priorities, exercise sound judgment, maintain confidentiality, and provide practical, business-focused legal advice.
  • Knowledge of the engineering, construction, industrial services, or related industries, along with government contracting experience, is strongly preferred.
  • Ability to use judgment to evaluate urgency, exhibit flexibility, and triage responsibilities and requests.
