Job description

VP, General Counsel

The BAM Companies Location: Carmel, IN - HQ 

Reports to: Chief Business Officer

Compensation: $175,000-195,000 +50% Bonus Potential

BAM sponsors and manages multifamily and other real estate investment vehicles, offering preferred equity and fund products to a large base of high-net-worth individual investors, RIAs, and institutional partners. BAM is vertically integrated consisting of BAM Capital, BAM Management and BAM Construction. 

Position Summary

BAM is seeking a VP, General Counsel to serve as the firm's senior legal officer and a key member of the leadership team. This role will oversee all legal matters across BAM's fund formation, capital raising, real estate transactions, corporate governance, regulatory compliance, and risk management functions. The VP, General Counsel will be the primary legal partner to the Principals and Chief Business Officer, working closely with investment, capital markets, and sales teams to structure and close transactions while protecting the firm and its investors.

This is a hands-on, high-impact role suited to an attorney who wants to build and run a legal function inside a growing, entrepreneurial real estate investment platform - not simply manage outside counsel from a distance.

Key Responsibilities

Fund Formation & Securities Compliance

  • Lead structuring, drafting, and review of private placement memoranda, operating agreements, subscription documents, and related offering materials for BAM's real estate funds and preferred equity vehicles
  • Ensure compliance with Regulation D, state blue sky requirements, and other federal/state securities laws governing offerings to accredited and HNW investors
  • Oversee investor communications, disclosures, and reporting obligations to ensure consistency with offering documents and regulatory requirements
  • Monitor evolving securities regulations relevant to real estate syndications and private placements

Transactional & Real Estate Legal Work

  • Structure, negotiate, and close real estate acquisitions, dispositions, joint ventures, and preferred equity investments
  • Draft and negotiate purchase and sale agreements, JV agreements, loan documents, guaranties, and related transaction documents
  • Coordinate with local counsel across jurisdictions on entity formation, title, zoning, and land use matters
  • Review and negotiate senior debt financing documents and intercreditor arrangements alongside the capital markets team

Corporate Governance & Entity Management

  • Oversee governance and compliance for BAM's corporate family and other special-purpose vehicles
  • Maintain corporate records, entity formation documents, and cap table/ownership structures across the fund platform

Risk Management & Compliance

  • Build and maintain BAM's overall compliance framework, including AML/KYC policies for investor onboarding
  • Manage insurance coverage, litigation exposure, and dispute resolution
  • Advise on employment law matters, including agreements with sales and executive personnel
  • Serve as the point of contact for regulatory inquiries, audits, and examinations

Leadership & Advisory

  • Act as a trusted advisor to the CBO and Principals on legal risk in deal evaluation and investment committee decisions
  • Manage relationships with outside counsel across securities, tax, real estate, and litigation specialties, and manage legal spend
  • Help scale the legal function as BAM grows across additional funds and investment vehicles
Qualifications
  • J.D. from an accredited law school; active bar membership in good standing (Indiana bar preferred or willingness to obtain)
  • 8+ years of relevant legal experience, with significant time in real estate private equity, fund formation, or securities law - law firm and in-house experience both valued
  • Familiarity with Regulation D offerings, private placement documentation, and syndicated real estate fund structures
  • Experience with multifamily or commercial real estate transactions strongly preferred
  • Strong drafting and negotiation skills across LP/JV agreements, PPMs, and credit documents
  • Ability to work directly with Principals and sales leadership in a fast-moving, entrepreneurial environment
  • Sound business judgment - comfortable weighing legal risk against commercial objectives, not just flagging issues
  • Excellent communication skills, with the ability to explain complex legal and structural issues clearly to non-lawyers, including investors

Work Environment
