COMMERCIAL FINANCE ASSOCIATE ATTORNEY

Our client, a prestigious AmLaw 100 national law firm, is seeking a talented Associate Attorney to join its sophisticated Commercial Finance practice in Philadelphia, Phoenix, or Minneapolis. This is an outstanding opportunity to work with a highly regarded finance team representing a broad range of institutional clients, including commercial banks, commercial finance companies, direct lenders, private equity firms, investors, developers, and nonprofit organizations. The practice handles complex financing transactions across industries, offering attorneys significant exposure to sophisticated lending and transactional matters


Candidate Profile

  • JD from a top-tier law school with an excellent academic record
  • Active Bar Admission in relevant jurisdiction, in good standing
  • 3-6 years of substantive experience in commercial finance transactions
  • Extensive experience with a wide range of debt, debt-like, and equity transactions secured by or invested in real estate projects
  • Strong transactional background with experience handling complex financing matters, including syndicated and portfolio transactions
  • Thorough understanding of Article 9 of the Uniform Commercial Code and the Bankruptcy Code as they relate to commercial finance transactions
  • Experience representing lenders, borrowers, investors, and other financial institutions in secured and unsecured financing transactions
  • Experience with workouts, restructuring matters, mergers and acquisitions, and/or private equity transactions is a plus
  • Excellent drafting, negotiation, analytical, and problem-solving skills
  • Excellent attention to detail, sound business judgment, and strong interpersonal skills
  • Demonstrated ability to manage multiple deadlines and work collaboratively within a team-oriented environment
  • Commitment to superior client service, with interest in direct client contact and business development opportunities

Key Responsibilities

  • Represent institutional lenders, financial institutions, investors, and other clients in a broad range of commercial finance transactions
  • Structure, negotiate, and document secured and unsecured lending transactions, including syndicated and portfolio financings
  • Conduct due diligence and review collateral structures, lien perfection issues, and related financing arrangements
  • Advise clients regarding Article 9 UCC matters and bankruptcy-related issues arising in commercial lending transactions
  • Draft and negotiate loan agreements, security agreements, intercreditor agreements, guaranties, and related financing documents
  • Assist clients with workouts, restructurings, amendments, and other post-closing matters as needed
  • Collaborate closely with partners and clients throughout all phases of transactions
  • Maintain significant client contact while managing multiple matters in a fast-paced practice environment
