Job description

Location: This position can be based in Exton, PA or from a home office in the United States.

Position Summary:

Are you a contracts negotiator with experience in commercial technology agreements and an interest in developing your skills on strategic transactions? Bentley is seeking a Contracts Negotiator to support our North American group. You will be a member of our global legal department, supporting a range of commercial negotiations and working closely with internal stakeholders.

Responsibilities:

  • Draft and negotiate commercial agreements, including technology licenses, SaaS agreements, and associated exhibits such as data protection and information security terms, with appropriate supervision and guidance.
  • Support the legal review of customer procurement requests, including RFP responses and non-standard Purchase Orders.
  • Collaborate with internal stakeholders (including sales, finance, product, and information security) to address non-standard terms and support risk assessment and escalation.
  • Negotiate information security terms, including coordinating with internal account trust and security teams to align on company positions.
  • Manage multiple assignments in a fast-paced environment, demonstrating attention to detail, organization, and responsiveness.

Qualifications:

  • 3-5 years of experience negotiating and drafting commercial technology contracts.
  • Experience with technology licensing, SaaS agreements, and data privacy and information security terms
  • Direct involvement in negotiating common information security provisions (e.g., security audits, incident response, data protection obligations).
  • Strong written and verbal communication skills, with the ability to clearly explain legal and business risks and present contract terms, negotiation issues, and risk analysis to key stakeholders and provide recommendations.
  • Demonstrated strong written and oral communication skills, ability to communicate clearly and succinctly to a variety of audiences.
  • Ability to manage multiple assignments and engagements concurrently.
  • Experience supporting public sector transactions is a plus.
  • Prior in-house legal or contracts experience is preferred.
  • A J.D. is preferred but not required.
  • This is a full-time role expected to work 40 hours per week, office-based, hybrid, or home-based in the US.
  • Requires sitting or standing at will while performing work on a computer (or any other physical requirements). The role requires communication with managers, peers, and other colleagues of the company in person (on occasion), and by utilizing Microsoft Teams chat, calling, and meeting functions.
