Mid-Level Capital Markets / Mergers & Acquisitions Associate Attorney – Multiple Offices

Direct Counsel is seeking a Capital Markets / M&A Associate to join a highly respected Am Law firm in New York, Miami, Dallas, or Washington, D.C. This is an excellent opportunity for a mid-level corporate associate to join a sophisticated Corporate M&A and Securities practice representing public companies, issuers, and institutional clients in complex capital markets and transactional matters.

The ideal candidate will have 3–5 years of experience handling a broad range of capital markets transactions and public company advisory matters. Candidates should have substantial experience representing issuers in debt and equity offerings, advising on SEC reporting obligations, and counseling public companies on governance and compliance issues.

Qualified candidates will possess:

  • 3–5 years of capital markets and securities experience at a large regional, national, or international law firm
  • Experience representing issuers in public and private offerings of debt and equity securities
  • Experience advising public companies on SEC reporting, disclosure, and corporate governance matters
  • Familiarity with Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements
  • Experience interfacing with the SEC and other regulatory authorities
  • Public and private M&A experience is a strong plus
  • Strong interpersonal, communication, and client management skills
  • Excellent academic credentials
  • Admission to practice in the applicable office jurisdiction or eligibility to become licensed
