Venture Capital & Emerging Companies Associate

Location: Boston, MA or New York, NY
Work Arrangement: Onsite
Experience: 3–5 Years
Compensation: $250,000–$365,000/year + Excellent Benefits

Direct Counsel represents a leading Am Law 100 firm seeking a talented Mid-Level Corporate Associate to join its growing Venture Capital practice in Boston or New York.

This is an exciting opportunity to advise prominent venture-backed companies and institutional investors throughout the company lifecycle, from formation and early-stage financings through later-stage transactions and portfolio matters.

Key Responsibilities
  • Represent venture-backed companies and venture capital funds in sophisticated corporate and transactional matters.
  • Draft and negotiate venture capital financing documents from Seed through late-stage financings, including term sheets, SAFEs, convertible notes, preferred stock purchase agreements, investors' rights agreements, and voting agreements.
  • Advise emerging growth companies on entity formation, corporate governance, securities issuances, capitalization, and general corporate matters.
  • Represent venture capital funds and institutional investors in new investments, follow-on financings, investment structuring, and portfolio matters.
  • Manage transaction diligence and take significant responsibility for deal execution.
  • Develop and maintain direct client relationships.
  • Work closely with senior attorneys while managing substantial responsibility within lean, fast-paced deal teams.
Qualifications
  • 3–5 years of substantive corporate transactional experience representing both venture capital investors and emerging growth companies.
  • Strong experience with venture capital financings and emerging companies.
  • Experience drafting and negotiating primary transaction documents.
  • Prior experience at an Am Law 50 firm or nationally recognized venture capital practice strongly preferred.
  • Excellent academic credentials.
  • Strong project management, analytical, and negotiation skills.
  • Sound judgment and ability to manage significant responsibility and client contact.
  • Ability to work effectively in lean, fast-paced deal teams.
  • Massachusetts and/or New York Bar admission required, or eligibility for admission.
