Job description

Stinson LLP is seeking an Associate with two to four years of experience to join our growing Corporate Finance Division in our St. Louis office.

This position provides an opportunity to join a strong and well-established corporate group serving sophisticated, national clients on dynamic and fast-paced transactions.  Attorneys in our Corporate Finance Division work on a broad range of transactional matters, including mergers and acquisitions, capital markets transactions, ‘34 Act compliance and reporting, venture capital and early stage investment transactions (issuer-side and investor side), private equity transactions (fund formation and governance as well as investments and exits), structured finance transactions, and investment management representations advising broker-dealers and investment advisers.

Qualified applicants will possess excellent academic credentials, will have strong writing, analytical, organizational, leadership and communication skills and will be licensed to practice in or be eligible for admission without examination in Minnesota.  The ideal candidate will have 2-4 years of experience leading, managing, or substantially contributing to mergers and acquisitions, private equity investment / leveraged buyout transactions, and/or capital markets transactions. 

Additional experience with respect to corporate governance matters, venture capital investment transactions, private offerings of equity and/or debt securities, and/or providing advice with respect to Forms 10-K, 10-Q and 8-K filings and proxy statements is preferred but not required.
