Direct Counsel is representing a well-known Am Law 100 firm seeking a Corporate Associate for its Delaware office.

Position: Associate – Corporate Practice
Location: Delaware (Hybrid)
Compensation: Competitive, based on experience. Full benefits package included.

Practice Summary:
The Corporate and Securities Practice focuses on supporting client business objectives through a wide range of transactional, governance, and compliance work. The team advises clients on raising capital, structuring deals, complying with regulations, managing risk, and implementing best practices, leveraging both local presence and global resources.

Responsibilities:

  • Handle transactional, governance, and fiduciary matters involving Delaware corporations, partnerships, and limited liability companies.

  • Advise clients on mergers, acquisitions, public offerings, investment fund transactions, joint ventures, and debt and equity financing transactions.

  • Provide clear, concise, and effective communication on complex legal matters in both written and oral form.

  • Collaborate with colleagues to deliver strategic and practical solutions to clients.

Qualifications:

  • Juris Doctor degree with admission to the Delaware Bar.

  • 2–5 years of substantive experience in corporate transactional and governance matters.

  • Strong academic background and superior drafting, research, and analytical skills.

  • Prior experience in a major law firm or reputable corporate practice preferred.

  • Ability to work independently while contributing effectively to a team environment.
