Position Summary:
We are seeking a highly motivated Mid-Level Corporate/MA Transactions Attorney with 5-8
years of relevant experience to join our team. The ideal candidate will have a strong
background with a variety of corporate matters, including MA, entity formation, corporate
governance, commercial contracts, and private financings.
Key Responsibilities:
- Support MA transactions from inception through closing, including due diligence,
drafting, negotiation, and closing documentation.
- Draft, review, and negotiate a wide range of commercial agreements (NDAs, service
agreements, vendor/customer contracts, etc.).
- Support general corporate counseling and day-to-day business matters.
- Collaborate closely with other attorneys, clients, and professionals in a team-oriented
environment.
Qualifications:
- J.D. from an accredited law school and active member in good standing of the Virginia
Bar or eligible to waive in.
- 5-8 years of experience in a corporate transactional practice, preferably with a law firm
or in-house legal department.
- Strong organizational, drafting and analytical skills.
- Ability to manage multiple projects in a fast-paced environment.
- Excellent communication and interpersonal skills.
- A proactive and client-focused mindset.
