Position Overview

Regal Rexnord isseekinga seasoned, business-minded attorney to serve asAssociate General Counsel,Commercial and Government Contractssupporting the Automation & Motion Control (AMC) segment, the Company's fastest-growing business. Reporting to the VP,Deputy General Counsel - AMC, this role serves as the primary legal partner and second-in-command for segment legal matters, providing day-to-day legal leadership across commercial, operational, and regulatory issues.

This position is designed for a senior commercial lawyer with meaningful experience supportingindustrial manufacturers, in particularaerospace and defense or government-facingbusinesses,whounderstands what it means to operate as a government supplierandcan navigate the legal, regulatory, and trade risks that accompany that role. TheAssociate General Counselwill provide pragmatic, execution-focused legal guidance while enabling growth, protecting the business, and improving legal processes and efficiency across the segment.

The role is primarily U.S.-focused, with regular interaction across global operations, suppliers, and customers.

Key Responsibilities

Commercial & Segment Legal Leadership

  • Serve as the primary day-to-day legal advisor to the AMC segment and as second-in-command to the VP,Deputy General Counsel - AMC.

  • Act as a trusted legal and business partner to segment leadership, sales, supply chain, quality, operations, and engineering teams.

  • Serve as a go-to legal resource for routine and complex legal questions acrosssixAMCdivisions.

Commercial Contracting& Protection

  • Lead and support negotiation, drafting, and interpretation of customer, supplier, distributor, and strategic commercial agreements - including large, cross-division and cross-segment agreements.

  • Advise on contract structure, pricing, risk allocation, liability, warranty, quality, delivery, indemnification, and termination provisions.

  • Support contract execution and lifecycle management, including active enforcement of contract rights on pricing, IP, delivery, and quality obligations.

  • Lead and support commercial enforcement matters, including collections on overdue customer payments and enforcement of contractual rights through demand letters and escalation.

  • Advise on and support alignment of customer contract risk with downstream supply chain obligations - a growing and increasingly complex area as AMC scales cross-divisioncommercial programs.

  • Provide guidance to and support the contract specialist team to drive consistency, efficiency, and adherence to standard processes and playbooks.

Aerospace,Defense& Government Contracting Support

  • Supportcommercial and operational matters involving aerospace,defense, and government-facing customers across AMC's five divisions.

  • Demonstrate a working understanding of the government contracting environment, including FAR/DFARS concepts, flow-down requirements, audit exposure, and supplier obligations.

  • Advisethe business on risks and expectations associated with being a government supplier, including compliance, recordkeeping, pricing, delivery, quality, and termination considerations.

  • Partner with Trade Compliance, Quality, Supply Chain,IT,and Operations teams to address regulatory, export controls, sanctions,CMMC compliance,and other trade-related considerationsimpactinggovernment anddefenseprograms.

Risk Management, Disputes & Litigation Support

  • Serve as first-line legal advisor onsegment-relatedcommercial disputes, claims, quality issues, warranty matters, supply chain disruptions, and customer escalations.

  • Partner with head of litigation, internal business stakeholders and outside counsel on segment-specific pre-litigation matters, contract-related matters, litigation support, and government contracting matters, commercial disputes, government contracts,including strategy, fact development, and resolution.

  • Provide practical, risk-based guidance that balances legal exposure with businessobjectivesand customer relationships.

Operational Partnership, Process Improvement & Execution

  • Collaborate with EHS, Quality, Trade Compliance, Real Estate, and other functional teams on legal issuesimpactingoperations, regulatory compliance, and strategic initiatives.

  • Identifyrecurring risks, inefficiencies, or friction points and drive improvements in contract templates, processes, and legal workflows - including building standard work and playbooks the business can use to self-identifyrisk.

  • Design and deliver training and business education so the business understands when contractual risk is triggered - before it is - reducing reactive legal exposure.

  • Lead and support continuous improvement initiatives on legacy contract exposure, contract management rigor, and risk identification across AMC's active commercial portfolio.

  • Manage multiple matters simultaneously in a fast-paced environment,maintainingownership and follow-through through resolution.

Skills & Qualifications

The successful candidate will have the following:

  • 10+years of experience as a commercial lawyer, withstrong and effective drafting skills andsignificant responsibility for customer and supplier contracting.

  • JD from an accredited law school and active license to practice law in at least one U.S.jurisdiction.

  • Experience supporting aerospace, defense, or government-facing manufacturing businessesisrequired.

  • Demonstrated understanding of the government contracting ecosystem, including FAR/DFARS concepts, flow-downs, audits, and the legal risks of operating as a government supplier.

  • Experience advising on commercialmatters, includingdisputes, quality issues, warranty claims, EHS-related matters, and operational risk.

  • Experience in a publicly traded or highly regulated environment preferred.

  • Excellent judgment, discretion, and risk assessment.

  • Practical business acumen, driving pragmatic business-oriented solutions.

  • A highly approachable, collegial, and collaborative approach.

  • Accountable and proactive self-starter, comfortable working independently.

  • Superb organizational skills and the ability to manage and prioritize multiple projects at once.

Pay Transparency

Starting salary: $198,000 and is dependent on a multitude of factors, including but not limited to the physical worksite location, the geographic market of that location, candidate's skill set, level of experience,educationand internal peer compensationcomparisons among other potential factors.

Candidates must be eligible to work in the United States without requiring companysponsorship to obtain or keep U.S. work authorization
