Job Summary:

The Associate General Counsel will work under the direction of a Senior Director, Legal Commercial and collaborate with business leaders and other members of the Legal Department to provide legal support for the Company's fuels marketing business. The position is responsible for drafting, reviewing, negotiating, and advising on a broad range of commercial agreements and transactions, including dealer sales agreements with real estate and commercial finance components and other strategic initiatives. The Associate General Counsel will provide practical, risk-based legal advice, support regulatory compliance, and partner with business leaders to advance the Company's commercial objectives while protecting its legal and business interests. Experience with the Petroleum Marketing Practices Act (PMPA), commercial real estate, and secured lending is preferred.
This role will be based at the company's new headquarters located in Newton, MA.

Job Description:

  • Drafts, reviews, negotiates, and manages a broad range of commercial agreements, including dealer sales agreements, mortgages, guaranties, notes, subordination agreements, assignments, branded wholesale agreements, vendor contracts, confidentiality agreements, and other commercial contracts.

  • Advise internal credit and finance teams regarding credit risk mitigation, security interests, perfection of liens, default remedies, collection strategies and coordinates with outside counsel on the same.

  • Provides practical, business-focused legal advice to fuels marketing, supply, operations, procurement, and other business teams on commercial transactions and day-to-day legal matters.

  • Partners with business leaders to identify legal risks and develop practical solutions that support strategic and operational objectives while protecting the Company's interests.

  • Assists with the resolution of commercial disputes, customer claims, contract interpretation issues, and pre-litigation matters, coordinating with the litigation team when appropriate.

  • Collaborates on the development of contract templates, policies, legal processes, and related process documentation to improve efficiency, consistency, and risk management, and procedural documentation, where applicable, to support knowledge transfer, future training, and the development of departmental standard operating procedures (SOPs).

  • Collaborates cross-functionally with compliance, finance, operations, procurement, and other business teams to support strategic initiatives, acquisitions, and commercial projects.

  • Provides legal support for regulatory inquiries, audits, and compliance initiatives affecting the Company's fuels marketing and commercial operations.

  • Performs other legal and business-related duties as assigned by the Senior Director, Legal Commercial or other members of the Legal Department.

Additional Job Description:

  • Law Degree (J.D.) and member of the Bar in at least one state where Global operates its businesses (preferably Massachusetts) is required.

  • At least 4-7 years of in-depth experience in a corporate or transactional law firm and/or in-house working directly with operations, legal and finance teams.

  • Experience in fuels marketing, petroleum distribution, commercial contracting, secured lending, commercial real estate, or retail operations strongly preferred.

  • Strong analytical skills for decision making for or on behalf of Global using logical thought processes and appropriate analysis.

  • Knowledge of Article 2 and Article 9 of the Uniform Commercial Code.

  • Must be able to demonstrate good judgment and earn a reputation of making the right calls and connecting the dots with limited information.

  • Must have effective communication skills, both written and oral, that make you an excellent negotiator who helps their client and the organization achieve a "win-win feeling."

  • Ability to identify the appropriate risks to take using your professional knowledge and understanding about the nature and extent of risk involved and can guide clients against the adversities which may arise in connection with transactions.

  • Exceptionally good at time management and the ability to effectively multitask in a fast-paced, deadline-driven environment.

  • Capacity and capability to face any challenge in the due course of both day-to-day business operations and transactions with self-assuredness and a calm mind.

  • Ability to understand the big picture of the business, which influences day-to-day work and efforts.

  • Ability to form relationships and develop consistent lines of communications with key people within Global, the industry, and beyond.

  • Must possess a solid and broad range of substantive legal skills and have a well-developed legal acumen and intuition as a baseline.

  • Must have a "no job is too big or too small" mentality.

Pay Range:

$136,200.00 - $204,200.00

The pay range for this position is outlined above. The final amount offered at the start of employment is determined based on factors including, but not limited to, experience level, knowledge, skills, abilities and geographic location, and the Company reserves the right to modify base salary at any time, including for reasons related to individual performance, Company or individual department/team performance and market factors.
