Associate General Counsel IT & Cybersecurity - Chicago, IL
ROLE SUMMARY AND RESPONSIBILITIES
The Associate General Counsel - Information Technology & Cybersecurity will provide strategic legal support to the global IT organization. This role will guide major technology initiatives, including software and infrastructure modernization, outsourcing and implementation projects, cybersecurity preparedness and response, and governance of emerging technologies. The position works closely with IT, Information Security, Procurement, Compliance, Privacy, and other partners to support risk management, operational execution, and responsible innovation.
Key Responsibilities
  • Provide legal support for technology-related projects, including software acquisitions, cloud and infrastructure migrations, system upgrades, and outsourcing arrangements.
  • Advise on cybersecurity risk management, readiness, and incident response activities.
  • Draft, review, and negotiate IT agreements, including software licensing, SaaS, hosting, professional services, and managed services.
  • Support vendor governance, contract performance issues, and resolution of disputes with technology providers.
  • Work with Privacy and Compliance partners on global data privacy, security, and records retention requirements.
  • Provide guidance on cross-border data issues and technology-related export controls.
  • Assist in developing and maintaining IT and information security policies and governance frameworks.
  • Provide legal guidance on responsible use of emerging technologies, including AI.
  • Support integration of acquisitions into the company's IT programs.
  • Partner with IT leadership to deliver practical, business-oriented legal solutions.
Candidate Profile and Core Competencies
  • Practical problem-solving abilities.
  • Ability to manage multiple assignments, prioritize effectively, and meet deadlines.
  • Strong communication and negotiation skills.
  • Collaborative mindset and cross-functional partnership skills.
Education and Experience
Required
  • Juris Doctor (JD) and active license to practice.
  • 9 years minimum experience in technology transactions or related legal fields.
  • Strong understanding of IT systems, cloud services, cybersecurity, and vendor management.
  • Ability to manage complex global matters.
Preferred
  • In-house experience within a global or publicly traded organization.
  • Experience with privacy, information security, export controls, or AI governance.
  • Experience with enterprise technology transformations.
