Overview

The Senior Counsel, SEC serves as a strategic legal advisor, supporting BrightSpring Health Services (Nasdaq: BTSG) and its subsidiaries. This role focuses on public company securities matters and corporate governance and partners closely with the Chief Legal Officer. This role may be remote and may be part time and BTSG is flexible in structuring this as employment or independent contractor.

Responsibilities
    Provide strategic legal counsel to BrightSpring Health Services and its subsidiaries, directly supporting the Chief Legal Officer and other members of the legal department as well as leadership in the licensure and enrollment department and working closely with other leaders on matters impacting their respective areas of responsibility.
  • Support critical legal areas through research, production of high-quality work product and communication including in the areas of health care, public company securities, corporate governance and contracts.
  • Partner leaders in various areas of the company.
  • Manage a sophisticated and diverse portfolio of matters, with a focus and emphasis on corporate related matters.
  • Advise the Chief Legal Officer and other members of the legal department on high-impact legal and policy issues affecting the enterprise.
  • Effectively prioritize and manage multiple, competing workstreams in a dynamic environment.
  • Lead special projects and strategic initiatives as directed by the Chief Legal Officer and other members of the legal department.
  • Contribute to the maintenance of a high-performing, "best-in-class" Legal Department.
  • Champion and promote the company's mission and culture in all legal services and interactions.
Qualifications
  • Juris Doctor from an accredited law school required
  • Member of good standing with the Kentucky Bar Association or licensure in another state with eligibility for licensure in Kentucky
  • At least two years of legal experience at a law firm, in house or in government
  • Work focus on transactional matters in the areas of regulatory and/or corporate law
  • Strong knowledge of applicable laws, regulations, executive orders, and agency rules, with a strong understanding of the broader regulatory and political environment.
  • Strong business judgment with the ability to analyze complex legal issues and deliver practical, risk-balanced advice aligned with organizational goals.
  • Ability and desire to work closely with others, including receiving appropriate direction and training, while being self-sufficient with limited need for oversight.
  • Experience managing matters related to business operations, risk management, and corporate governance.
  • Demonstrated ability to handle highly confidential information with discretion and maintain composure under pressure.
  • Exceptional written and verbal communication skills, with the ability to effectively engage stakeholders at all organizational levels and with external parties.
  • Highly organized and detail oriented.
  • Demonstrated ability to manage multiple tasks and priorities with accuracy and timeliness, and without the need of constant oversight.
  • Technologically proficient and self-directed, with an emphasis on the use of artificial intelligence in law.
  • Collaborative mindset with the ability to work effectively within a small, dedicated Legal Department while also operating independently.
  • Strong research and analytical skills
  • Travel up to 25%

Preferred Experience

  • Regulatory experience in health care.
  • Securities law experience, particularly under the Securities Exchange Act of 1934, including proxy statements, Forms 8-K, 3, 4, and 5, and relevant portions of Form 10-K (e.g., risk factors).
  • Corporate governance and entity management (resolutions, minutes, annual reports, etc.).
  • Contract drafting and negotiation.
  • Mergers and acquisitions experience.
