Energy & Infrastructure Mergers & Acquisitions Associate Attorney

Direct Counsel is seeking an Energy & Infrastructure M&A Associate Attorney to join a prestigious Am Law firm in one of the following offices: Austin, Boston, Charlotte, Chicago, Houston, Irvine (Orange County), Los Angeles, Miami, New York City, Portland, Sacramento, San Francisco, Santa Monica, Seattle, Silicon Valley (Menlo Park), or Washington, D.C.

This is an exceptional opportunity for an attorney with at least one year of M&A experience to join a nationally recognized Energy & Infrastructure practice. The team advises market-leading clients on sophisticated mergers and acquisitions, joint ventures, divestitures, and strategic transactions across the energy and infrastructure sectors, including renewables, power generation, oil and gas, energy transition, energy technology, infrastructure, and data centers.

Responsibilities
  • Represent clients in sophisticated mergers and acquisitions, divestitures, joint ventures, and other strategic corporate transactions.

  • Advise clients across a broad range of energy and infrastructure sectors, including renewable energy, conventional power, oil and gas, energy transition, infrastructure, and data centers.

  • Draft, review, and negotiate transaction documents, including purchase agreements, joint venture agreements, and ancillary transaction documents.

  • Conduct legal due diligence and assist with transaction structuring and execution.

  • Collaborate with attorneys across finance, project development, regulatory, tax, environmental, and real estate practices on complex transactions.

  • Participate in all phases of M&A transactions from initial negotiations through closing.

  • Work directly with clients to provide practical, business-focused legal advice.

  • Contribute to business development initiatives, internal training programs, and process improvement efforts within the practice.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in the state bar of the office where the attorney will be located.

  • At least one year of M&A experience at a major law firm.

  • Experience working on mergers and acquisitions and other sophisticated corporate transactions.

  • Strong drafting, negotiation, analytical, and communication skills.

  • Excellent academic credentials.

  • Demonstrated ability to manage multiple priorities in a fast-paced, collaborative environment.

  • Strong interpersonal skills and a commitment to exceptional client service.

Compensation & Benefits
  • Salary: $235,000-$435,000, commensurate with experience and qualifications.
