Position Overview:

MN8 Energy is seeking a highly versatile, business-minded attorney to join its in-house legal team. This role is ideal for a “Swiss army knife” lawyer who thrives in a fast-paced, deal-oriented environment and enjoys working across a broad range of commercial and project-related matters.

The Commercial Counsel will support the negotiation and execution of complex transactions, with a primary focus on drafting, reviewing, and managing commercial agreements across MN8’s portfolio. This role partners closely with business, finance, and operations teams to enable efficient deal execution while mitigating legal and commercial risk.


As the Commercial Counsel, you will:

  • Draft, review, and negotiate a wide range of commercial agreements, including: EPC, O&M, master supply, procurement, and services agreements, as well as PPAs, leases, and easements
  • Support construction, asset management, and operational matters across a diverse portfolio of renewable energy assets
  • Partner cross-functionally with business, finance, and operations teams to drive transactions forward and enable execution against strategic priorities
  • Identify and mitigate legal and commercial risks while maintaining a pragmatic, solutions-oriented approach
  • Independently manage discrete components of transactions, including leading negotiations on assigned workstreams
  • Support the preparation and delivery of key contractual notices, including force majeure notices, breach notices, and warranty claims
  • Assist with due diligence activities, contract management, and internal process improvements
  • Contribute to the continuous enhancement of legal processes, templates, and playbooks to support scale and efficiency


What We’re Looking For:

  • Juris Doctor (J.D.) from an accredited law school and admission (or eligibility for admission) in at least one U.S. jurisdiction
  • 2–5 years of relevant legal experience within a law firm and/or in-house legal department
  • Experience drafting and negotiating commercial agreements; experience in renewable energy or infrastructure is preferred
  • Strong issue-spotting skills with the ability to review and mark up agreements efficiently (including NDAs under tight timelines)
  • Demonstrated ability to manage multiple workstreams and meet deadlines in a fast-paced environment
  • Excellent drafting, negotiation, and communication skills
  • Strong business judgment with a pragmatic and solutions-driven mindset
  • Ability to work collaboratively across teams while also operating independently
  • High attention to detail with strong organizational capabilities
  • A strong desire to learn, grow professionally, and take on increasing responsibility
